L <br />Board of County Commissioners of <br />Indian River County, Florida, et al. <br />1987 <br />Page 21 <br />(b) This Bond Purchase Agreement is solely for the <br />benefit of the Issuer, the Borrower, NHC, the Underwriter and <br />their respective successors, and no other person shall acquire <br />or have any right under or by virtue of this Bond Purchase <br />Agreement. The term "successors" as used in this Bond Purchase <br />Agreement shall not include any purchaser of .the Bonds, as such <br />purchaser, from the Underwriter. <br />(c) All the representations and agreements of the <br />Issuer, the Borrower and NHC in this Bond Purchase Agreement <br />shall remain operative and in full force and effect and shall <br />survive delivery of and payment for the Bonds hereunder, <br />regardless of any investigation made by or on behalf of the <br />Underwriter. <br />(d) The term "business day" as used in this Bond <br />Purchase Agreement shall mean any day on which the New York <br />Stock Exchange is open for business. <br />(e) This Bond Purchase Agreement shall be- governed <br />by, and construed in accordance with, the laws of the State of <br />Maryland. <br />(f) This Bond Purchase Agreement may not be assigned <br />by the Issuer, the Borrower, NHC or the Underwriter without the <br />prior written consent of the other parties hereto. <br />(g) Section headings have been inserted in this Bond <br />Purchase Agreement as a matter of convenience of reference <br />only, and it is agreed that such section headings are not a <br />part of this Bond Purchase Agreement and will not be used in <br />the interpretation of any provision of this Bond Purchase <br />Agreement. <br />(h) This Bond Purchase Agreement may be executed in <br />any number of counterparts, 'each of which shall be deemed an <br />original, but all of which together shall constitute one and <br />the same agreement. <br />4330x:10/23/87 <br />3002-353 <br />
