costs and expenses of financing and related costs and expenses
<br />(collectively, the "Project").
<br />NOW, THEREFORE, in consideration of the agreements, conditions
<br />and covenants herein contained and to be observed at all times during the
<br />term hereof, the parties hereto, each intending to be legally bound,
<br />covenant and agree as follows:
<br />1. The County hereby does lease to the District, upon terms
<br />and conditions set forth herein, the Leased Premises, to have and to hold
<br />the Leased Premises, as lessee, for a term beginning June 1, 1988, and
<br />ending June 2, 2002, unless extended or sooner terminated in accordance
<br />with the terms hereof.
<br />2. The District covenants and agrees that it shall pay to the
<br />County, as rental for the Leased Premises, a total sum of $1.00 (the
<br />"Lease Rental"), payable in a single payment upon delivery hereof, the
<br />receipt of which is hereby acknowledged.
<br />3. The District covenants and agrees that it shall issue and
<br />sell the Series of 1988 Bonds under the Resolution and shall apply the
<br />proceeds thereof, to the extent necessary and available, to payment of the
<br />costs and expenses of the Project and related costs and expenses. The
<br />County does hereby acknowledge and consent to the District issuing the
<br />Series 1988 Bonds.
<br />4. The County hereby assigns to the District the right to
<br />receive, collect and enforce payment of any and all rates, charges and
<br />fees heretofore levied, fixed or imposed upon, but not yet collected from,
<br />users of the solid waste disposal facilities constituting the Leased
<br />Premises for the period commencing on the effective date of this Lease;
<br />and the County hereby agrees to cooperate with and assist- the District in
<br />the receipt, collection and enforcement of the same.
<br />5. The County agrees that it will not transfer or permit the
<br />transfer of the Leased Premises or any interest therein or any part
<br />thereof to any person or party other than the District during the term of
<br />this Lease, as extended from time to time ("transfer", without intending
<br />to limit the generality of the foregoing, at any given time, shall
<br />include: grant, convey, mortgage, encumber, pledge, hypothecate, lease or
<br />sublease, release, quitclaim, assign and sell and shall embrace the
<br />creation of an easement, servitude or license, the passage or creation of
<br />title, the passage or creation of any interest, the creation of any lien
<br />or judgment of record against the Lased Premises, or any disposition
<br />thereof or any interest therein or .art thereof, whether voluntary or
<br />involuntary or by operation of law).
<br />6. The County and the District, may cause this Lease to be
<br />cancelled and terminated only if the District- shall first have paid or
<br />made provision for payment of, pursuant to Section 20 of the Resolution,
