contracted to fiunish certain services that are a component of Everside Services to Members. <br />1.11 "Staffing Date" means the date on which Everside engages Medical Team members <br />prior to the Health Center Opening Date. <br />1.12 "Start -Up Costs" means the total cost associated with the set-up activities and assets <br />in accordance with the criteria set forth in Exhibit D. <br />2. Retention. <br />2.1 Engagement of Everside. During the term of this Agreement, Client hereby retains <br />Everside as Client's primary provider of membership -based health center, primary care and <br />wellness services, and Everside agrees to make available such services and to provide <br />administrative services. Pursuant to this Agreement, Client and Everside agree to establish an on- <br />site or near -site Everside Health Center for Client Members. <br />2.2 Member Enrollment. Members will be eligible to enroll in the Everside Health <br />Center upon the receipt by Everside of an Eligibility File from Client. During the Term of this <br />Agreement and subject to Everside Health Center policies, an enrolled Member will remain <br />enrolled in the Everside Health Center until Everside receives from Client 1) notice that a Member <br />has disenrolled for any reason and 2) an Eligibility File that does not include such Member's <br />information. Client shall submit to Everside a current census of covered lives by the 7`s calendar <br />day of each month, listing those Members as of the 11 calendar day of the same month. <br />3. Everside Responsibilities. <br />3.1 Everside Services. Everside shall ensure that Members enrolled in the Everside <br />Health Center have access to the following services, provided directly by the Medical Team or <br />Everside's authorized and legitimate subcontractors, meeting all applicable state and federal legal <br />requirements, at the Everside Health Center: <br />(a) Primary health care services, including non -emergency episodic care and <br />preventive care for all enrolled Members; <br />(b) <br />Electronic medical records and a Member portal to view such records; <br />(c) <br />Tailored care plans for adult Members; <br />(d) <br />Health education for Members; <br />(e) <br />Standard On -Site lab and dispensary services described in Exhibit C; <br />(f) <br />Periodic identification of gaps in care, patterns of disease and trends in <br />Member adherence across the Client's eligible population <br />(g) <br />Referrals to specialist physicians, as appropriate <br />(h) <br />Contacting Eligible Members by telephone and unsecure e-mail on behalf <br />2022 F%Lnzide Ileallh.
