If Buyer fails to make an election in writing, Buyer shall be deemed to have elected <br />alternative (a) above. <br />17. Loss or Damaee. Any loss or damage to the Property between the Effective Date <br />and the Closing shall not void this Agreement or modify the provisions hereof, provided, that <br />Seller shall repair such loss or damage to the Property prior to the Closing as a condition of Buyer's <br />obligations to proceed to the Closing hereunder. In the event that Seller fails to rcpaiir such loss or <br />damage prior to the Closing, Buyer may, at its sole election and option, either (a;l suspend the <br />Closing for a sufficient period of time in order to allow Seller to complete the repairs or (b) deduct <br />from its obligation to pay the Purchase Price hereunder a sum sufficient to complete the repairs as <br />certified by Buyer's architect or engineer. <br />18. Default. <br />(a) Buyer Default. If the transactions contemplated hereby do not close solely <br />due to a refusal or default on the part of Buyer, then the Deposit, together with any and all interest <br />earned thereon, shall be delivered by Escrow Agent to Seller as liquidated and agreed upon <br />damages and thereafter, Buyer shall be relieved from all further obligations under this Agreement <br />and Seller shall have no further claim against Buyer for specific performance or for damages by <br />reason of the failure of Buyer to close the transactions contemplated hereby. <br />(b) Seller Default. if the transactions contemplated hereby fail to close due to <br />a default on the part of Seller, then at the option of Buyer the Deposit shall be returned by Escrow <br />Agent to Buyer, together with any and all interest earned thereon, provided, however, that such <br />return shall not limit Buyer's right to maintain an action for speck performance of this <br />Agreement by Seller and to pursue any and all other rights and remedies available to Buyer at law <br />and in equity for damages suffered by Buyer as a result of Seller's default. <br />19. Cure Period. Prior to any claim of default being made, parties will have an <br />opportunity to cure any alleged default. If a party fails to comply with any provision of this <br />Agreement, the other party will deliver written notice to the non -complying party specifying the <br />non-compliance. The non -complying party will have five (5) days after delivery of such notice to <br />cure the non-compliance. Notice and cure shall not apply to failure to close. <br />20. Escrow. Escrow Agent, in receiving funds to hold in escrow hereunder, is <br />authorized and agrees by acceptance thereof to promptly deposit and to hold same in escrow and <br />to disburse same subject to clearance thereof in accordance with terms and conditions of this <br />Agreement. Failure of clearance of funds shall not excuse performance by Buyer. In the event of <br />doubt as to its duties or liabilities under the provisions of this Agreement, Escrow Agent may, in <br />its sole discretion, continue to hold the monies which are the subject of this escrow until the parties <br />mutually agree to the disbursement thereof, or until a judgment of a court of competent,jurisdiction <br />shall determine the rights of the parties thereto, or it may file an interpleader action and deposit all the <br />monies then held pursuant to this Agreement with the Clerk of the Circuit Court of Indian River <br />County, Florida, and upon notifying all parties concerned of such action, all liability on the part of <br />Escrow Agent shall fully terminate, except to the extent of accounting for any monies theretofore <br />delivered out of escrow. In the event of any suit between Buyer and Seller wherein Escrow Agent is <br />made a party by virtue of acting as escrow agent hereunder, or in the event of any suit wherein Escrow <br />10 <br />
