Effective Date. The effective date of this Agreement (the "Effective; Date") shall be the date upon which the last party to execute this Agreement has delivered the fially executed Agreement to the other party in accordance with Section 27. 33. Time of the Essence. Time is of the essence with respect to each provision of this Agreement that requires action be taken by either party within a stated time period, or upon a specified date, provided, however, if the date for performance is on a Saturday, Sunday or federal holiday, the date for performance shall be extended to the next business day. 34. Counterparts, Email or Facsimile Signatures. This Agreement may, be executed in multiple counterparts, each of which shall be deemed an original but all of which, together, shall constitute but one and the same instrument. This Agreement shall be effective when the parties have emailed or faxed their respective signatures either to the other party or to the other party's counsel.
