AR'rICLE I <br />DEFINITIONS AND REPRESENTATIONS <br />Section 1.1 Definitions. The following words, terms or <br />phrase~, ·t,1hen used in this Agreement, have the following <br />:aeanings, unless the context clearly indicates a different <br />meaning: <br />"Act" shall mean Chapter 159, Part II, Florida Statutes, <br />¼nu other applicable provisions of law, and all future acts supple- <br />menc3L thereto or amendatory thereof. <br />"Additional Bonds" shall mean any Bonds issued pursuant <br />to Sec'::.ions 2.4 and 3.3 of the Indenture. <br />"Administration Expenses" shall mean the reasonable and <br />necessary expenses incurred by the Issuer and the Trustee pursuant <br />to this Agreement and the Indenture, and the compensation and <br />ex?ens~s paid to or incurred by the Trustee or the Paying Agent <br />unJer the Indenture, including but not limited to all expenses and <br />t3xen, if any, applicable to or arising from any transfer of <br />title ~r any creation or transfer of any lien or security <br />inter~st provided for in or contemplated by this Agreement or the <br />Indenture ~nd any interest and penalties for nonpayment or delay <br />in the payment of any such taxes, which sha.J.l not have been paid <br />out of !:.he ()roceeds from the sale of the Bonds or by the Borrower. <br />"Affiliates of the Borrower" shall mean Persons <br />controlling, controlled by or under common control with the <br />i3ori:ower. <br />"Agreement" shall mean this Loan l\greement, Mortgage and <br />Security ,\yreement. <br />"Authorized Oorrower Representative" shall mean any per- <br />son at the time designated to act on behalf of the Sorrower by a <br />written certificate, signed on behalf of the Borrower by its <br />President or one of its Vice Presidents or its Treasurer, and by <br />its Secretary or one of its Assistant Secretaries, or by its <br />rnanaqinij partner, whichever is applicable, and furnished to Lhe <br />Issuer ,:i.nu the Trustee, containing tht:! specimen signature of ea.ch <br />such person. <br />"Donus" shall mean the Industrial Development Revenue <br />!3onc1:i, Series 1983 (FlorirJa llealth Pacilities Project}, of the <br />Issuer Lssueu pursuant to the Indenture, including any Additional <br />â–¡onus. <br />-3-
