AGREEMENT; <br />ARTICI,E I <br />0EF I::ITIONS AND OT .HER PROVISIONS OF GENERAL APPLICATION <br />Section 1.01. Definitions <br />For purposes of this Agreement, except as otherwise <br />,:ix;Jrcssly provided or unless tL~ context otherwise requires: <br />(1) the terms defined in this Agreement have the <br />meanings assigned to them herein, and include the plural <br />as well as the singular; <br />(2) all accounting terms not otherwise defined <br />herein, in the Loan Agreement or in the Indenture have <br />the meanings assigned to them in accordance with <br />•Jenerally accepted accounting principles; <br />( 3) the words "herein," "hereof" and "hereunder" <br />anrJ other words of similar import, refer to this <br />,\greecnent as a whole and not to :;i.ny particular article, <br />section or subdivision; <br />(4) the words "its separate proper-ty," and <br />otner •,;ords of similar import, when referring to <br />property of the Guarantor, shall mean the property <br />owned individually by each Person comprising the <br />Guarantor; and <br />(5) all capitalized terms used herein which are <br />not defined herein shall have the meanings assigned to <br />them in the Loan Agreement or in the Indenture. <br />Section 1.02, Notices to Trustee, Guarantor and Issuer. <br />l\11 notices, requests or other communications to be <br />given to the Guarantor, the Trustee or the Issuer hereunder <br />sh~ll be sufficiently given and shall be deemed given, when <br />~iven by hand delivery to such person at the street address <br />of such person set forth below, or when mailed by registered <br />or certified mail, postage prepaid, addressed as follows : <br />(1) If to the Trustee, to Barnett Banks Trust <br />Company, N.A., 001 Riverside Avenue, Jacksonville, <br />Florida 32204, Attention: Corporate Trust <br />IJepartment. <br />-3-
