This Agreement shall be construed in accordance with and <br />governed by the laws of the State, <br />Section 1,14. Headings Not Part Hereof, <br />The headings preceding the several articles and sections <br />hereof (and any table of contents hereto) are solely for con- <br />venience of reference, do not constitute a part of this Agreement <br />and shall not affect its meaning, construction or effect. <br />Section 1.15, Termination. <br />This Agreement shall remain in full force and effect so long <br />as any of the Bonds and any amounts payable to the Trustee under <br />the Indenture or hereunder shall remain unpaid and, subject to <br />the provisions of Section 1.09 hereof, shall terminate at such <br />time as none of the Bonds and no amounts payable to the Trustee <br />under the Indenture or hereunder shall remain unpaid. <br />Section 1.16. Liabilities Individual. <br />No obligation imposed on any one party to this Agreement <br />shall be construed as a liability of the other, unless the <br />context or language specifically implies or states that such <br />obligation is joint and several; provided, however, that each <br />Person comprising the Guarantor shall be jointly and severally <br />liable to the extent specified in Article III hereof. <br />Section 1.17. Succession of a Guarantor. Subject to prior <br />written approval by the aondholders and the Issuer, the Persons <br />comprising the Guarantor mar be changed from time to time, Any <br />successors to those Persons comprising the Guarantor shall exe- <br />cute documents evidencing their acknowledgment and assumption of <br />their obligations under this Agreement. Original executed copies <br />of such documents shall be furnished to the Issuer and the <br />Trustee within 5 days after their execution. <br />-8-
