EXHIOIT "13" <br />PROMISSORY NOTE <br />Dated: _____ ,1983 <br />For value received, Florida Health Facilities Corp, (of <br />Indian River County}, the "Borrower," promises to pay to the <br />order of. Indian River County, a political subdivision of the <br />State of Florida (the "County"), the principal sum of $2,400,000, <br />together with interest and other amounts from the date hereof as <br />specified in the Loan Agreement, Mortgage and Security Agreement <br />dated the date hereof, between the County and the Borro~er (the <br />"Loan Agreement"), to which this Note is annexed as Exhibit "B," <br />and as specified in the Trust Indenture {the "Indenture") dated <br />the date hereof, between the City and Barnett Banks Trust <br />Company, N.A,, Jacksonville, Florida, as ·rrustee under the <br />Indenture. <br />This Note is secured by the Loan Agreement and the <br />Indenture, as proviJed for and set forth in the Loan Agreement <br />and the Indenture. It is expressly agreed that all covenants, <br />conditions and agreements contained in the Loan /\greement and the <br />Indenture executed in connection herewith, are hereby incor- <br />porated by reference in this instrument as though fully set forth <br />at length he.rein. In the event of conflict bet.ween this Note ,J.nd <br />the Loan Agreement or Indenture, the terms and conditions of the <br />Loan Agreement shall control. This Note shall be deemed to be in <br />default, upon the occurrence of any event of default which under <br />the terr.is of the Loan Agreement or Ind enture securing this Note <br />constitutes an event of default. Upon the occurrence of an event <br />of default, the holder of this Note may, at its option, declare <br />a 11 unpaid indebtedness evidenced by this ;1ot.e and any modi fica- <br />tions thereof, immediately due anrt payable without notice <br />regardless of the date of maturity. i:;"ailure at any time to exer- <br />cise this option shall not constitute a waiver of the right to <br />exercise the same at any other time. <br />This Note is assignable to the Trustee as aforesai~. <br />This Note shall be governeJ by the laws of the State of <br />Florida, which laws shall be applicable in the interpretation, <br />construction and enforc~aent hereof. <br />-80-
