AGREEMENT FOR PROFESSIONAL SERVICES <br />THIS AGREEMENT for PROFESSIONAL SERVICES ("Agreement"), entered into <br />as of this 28th day of March , 2023 by and between INDIAN RIVER <br />COUNTY, a political subdivision of the State of Florida, whose address is 180127 th Street, <br />Vero Beach FL 32960 ("COUNTY"), and CONSOR ENGINEERS, LLC, headquarters in <br />Houston Texas and authorized to do business in Florida, whose address is 1511 N. <br />Westshore Boulevard, Suite 220, Tampa, FL 33607 ("Consultant"): <br />BACKGROUND RECITALS: <br />A. In accordance with the Consultants' Competitive Negotiations Act, Section <br />287.055, Florida Statutes, the COUNTY solicited Requests for Statements of Qualification <br />#2022072 for Construction Engineering and Inspection (CEI) Services for IRC -1505B <br />(66th AVE From 69th St to CR-510/85th St) (FDOT FM No. 436379-2-54-01) ("Project") <br />attached as Attachment A to this Agreement and made a part hereof by reference. <br />B. As a result of its response, the County has selected Consultant to provide <br />certain professional services relating to Public Works, ("Services") as more fully set forth <br />in the Scope of Services dated 1/08/2019, included in Attachment A (pages 18 through <br />43) to this Agreement and made a part hereof by reference. <br />C. Consultant submitted a Qualified Fee Proposal dated March 10, 2023, <br />attached as Attachment B to this Agreement and made a part hereof by reference. The <br />Qualified Fee Proposal is based on the Scope of Services included in Attachment A. <br />D. The Consultant is willing and able to perform the Services for the COUNTY <br />on the terms and conditions set forth below; and <br />E. The COUNTY and the Consultant wish to enter into this Agreement for the <br />Consultant's Services for the Project. <br />NOW THEREFORE, in recognition and consideration of the above Recitals, which <br />are not merely prefatory, but are incorporated by reference as though fully set forth herein <br />and form part of the consideration, terms and conditions of this Agreement, and in <br />accordance with the mutual covenants herein contained and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, the parties <br />agree as follows: <br />GENERAL. <br />1.1 All professional services provided by the Consultant for the COUNTY shall <br />be as identified in Attachment A and invoiced per Attachment B (collectively, the <br />"Attachments", individually, Attachment A or Attachment B). The parties agree that the <br />fully loaded hourly rates and staff hours shown in Attachment B are estimates only to be <br />
