FOR EXPANSION <br />AND <br />OPERATION OF WATER PLANT <br />THIS AGREEMENT, made and entered into as of the 31St day of <br />�"jjal�q , 1984, by and among REALCOR-VERO BEACH ASSOCIATES, a Florida <br />partnersblp (the "Purchaser".), FLORIDA -ATLANTIC ASSOCIATES, a New York <br />partnership (the "Seller"), and FLORIDA -ATLANTIC ASSOCIATES, NUMBER TWO, <br />a New fork partnersbip (the "Adjacent Owner"). <br />W I T N.E S S E T H: <br />WHEREAS, Seller has as of tbis day conveyed to Purchaser that <br />certain parcel, of land located in Indian River County, Florida, known as <br />Village Green South, and being more particularly described in Exhibit A <br />attached bereto and made a part hereof (the "Property")_ upon which Pur- <br />chaser intends to develop a mobile home park containing approximately <br />seven hundred seventy-six (776) units; <br />WHEREAS, Adjacent Owner is the owner of that certain parcel of <br />land located in Indian River County, Florida, being more particularly <br />described in Exhibit B attached hereto and made a part hereof (the <br />"Adjacent Property") upon which Adjacent Owner operates a mobile home <br />park known as Village Green West; <br />WHEREAS, there is located on the Adjacent Property, a water <br />plant which pumps, purifies and distributes water to the occupants of the <br />Adjacent Property (the "Water Plant"); <br />WHEREAS, Purcbaser desires to expand the Water Plant, at Pur- <br />chaser's sole expense, to a capacity sufficient for the purposes of <br />providing water to the Property and all of its future occupants; <br />NOW, THEREFORE, in consideration of Ten and N0/100 Dollars <br />($10.00), the mutual promises and covenants and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknow- <br />ledged, the parties hereto hereby agree as follows: <br />1. Unless Purcbaser shall elect to cause water to be supplied <br />to the Property from sources other than the Adjacent Property (which <br />election shall be Purchaser's to make in its sole and absolute discre- <br />tion). Purchaser beieby agrees that, no later than the completion of the <br />second designated "phase" of the development of the Property. (as such <br />"phases" are delineated in that certain "Agreement of Purchase and Sale <br />of Village Green South" between Seller and Purchaser, dated as of <br />August 19, 1983), Purchaser shall, at its own expense, expand the Water <br />1/27/84 <br />©onO618ME24191 <br />
