1, • <br />Notice of any redemption, as hereinbefore authorized, shall be given <br />by the Paying Bent by first class mail to the registered owners of Notes to be <br />redeemed in whole or in part not more than 45 days and not less than 30 days <br />prior to the date fixed for redemption at the addresses shown on the <br />registration books, in accordance with requirements of the Resolution. Failure <br />to mail any notice of redarption or any defect therein or in the mailing thereof <br />shall not affect the validity of any proceeding for redemption of other Notes so <br />called for redemption. Any such redemption shall be in the manner and upon <br />terms and with the effect provided in the Resolution or after waiver of such <br />notice shall have been filed in accordance with provisions of the Resolution. <br />Certain modifications and alterations of the Resolution not adversely <br />affecting rights of holders of Notes outstanding thereunder may be made without <br />consent of holders of such Notes in the manner and upon terms and conditions <br />provided in the Resolution. Any other modification or alteration of the <br />Resolution or of rights and obligations of the Issuer or of holders of Notes <br />outstanding thereunder may be made in the manner and upon terms and conditions <br />provided in the Resolution. Anv consent by the holder of thie Nntn <br />required by the Resolution (unless revoked as provided in the Resolution), shall <br />be conclusive and binding upon such holder and all future holders and owners of <br />this Note, irrespective of whether any notation of such consent is made upon <br />this Note. <br />It is hereby certified, recited and declared that all acts, conditions <br />and things required to exist, to happen and to be perfonned precedent to and in <br />connection with the issuance of this dote, exist, have happened and have been <br />performed in regular and due fonn and time as required by the laws ancl <br />Constitution of the State of Florida applicable thereto; and that the issuance <br />--20- <br />
