1, • Notice of any redemption, as hereinbefore authorized, shall be given by the Paying Bent by first class mail to the registered owners of Notes to be redeemed in whole or in part not more than 45 days and not less than 30 days prior to the date fixed for redemption at the addresses shown on the registration books, in accordance with requirements of the Resolution. Failure to mail any notice of redarption or any defect therein or in the mailing thereof shall not affect the validity of any proceeding for redemption of other Notes so called for redemption. Any such redemption shall be in the manner and upon terms and with the effect provided in the Resolution or after waiver of such notice shall have been filed in accordance with provisions of the Resolution. Certain modifications and alterations of the Resolution not adversely affecting rights of holders of Notes outstanding thereunder may be made without consent of holders of such Notes in the manner and upon terms and conditions provided in the Resolution. Any other modification or alteration of the Resolution or of rights and obligations of the Issuer or of holders of Notes outstanding thereunder may be made in the manner and upon terms and conditions provided in the Resolution. Anv consent by the holder of thie Nntn required by the Resolution (unless revoked as provided in the Resolution), shall be conclusive and binding upon such holder and all future holders and owners of this Note, irrespective of whether any notation of such consent is made upon this Note. It is hereby certified, recited and declared that all acts, conditions and things required to exist, to happen and to be perfonned precedent to and in connection with the issuance of this dote, exist, have happened and have been performed in regular and due fonn and time as required by the laws ancl Constitution of the State of Florida applicable thereto; and that the issuance --20-
