[410 <br />registrations and transfers shall be made without charge to <br />Holders, except for actual costs, including postage, <br />insurance and any taxes or other governmental charges <br />required to be paid with respect to the same. <br />G. Notes+Mutilated, Destroyed, Lost or Stolen. If any <br />Note shall become mutilated or shall be destroyed, lost or <br />stolen, the Issuer, in its discretion, may issue and <br />thereupon the Paying Agent shall authenticate and deliver a <br />new Note of like date, tenor, amount, maturity and series, <br />in exchange and in substitution for such mutilated Note, <br />upon surrender thereof, or in lieu of and in substitution <br />for such Note destroyed, lost or stolen, upon the Holder of <br />the Note: (i) filing with the Paying Agent evidence <br />satisfactory to the Issuer and the Paying Agent that such <br />Note has been destroyed, lost or stolen and of his ownership <br />thereof; (ii) furnishing the Issuer and the Paying Agent <br />with satisfactory indemnity; and (iii) complying with such <br />other reasonable regulations as the Issuer and the Paying <br />Agent may require. A reasonable charge may be imposed upon <br />the Holder of the Note to reimburse the Issuer and the <br />Paying Agent for expenses of issuing each such new Note, <br />which cost shall be paid before delivery of such new Note. <br />If any such Note shall have matured or shall be about to <br />mature, instead of issuing a substitute Note, the Issuer and <br />the Paying Agent may pay the same, upon receiving evidence <br />and being indcmrified as aforesaid, aril if such Note shall <br />be destroyed, lost or stolen, without surrender thereof. <br />-26- <br />
