11 <br />state or federal statute to be performed by the Issuer or by <br />any officer thereof. <br />SECT I C>I`I 10. M I SCE LLANEOUS PMV I S I CNS . <br />A. Supplemental instruments. The Issuer shall, as <br />necessary, from time to time and at any time, adopt such <br />resolutions and/or ordinances as shall not be inconsistent <br />with the terms and conditions of this Resolution: <br />(i) To cure any ambiguity, defect or <br />omission herein; and/or <br />(ii) To secure, extend or renew to the <br />Holders of the Notes the pledges made herein for <br />the payment of the Notes and the interest to <br />accrue thereon. <br />S. Modification and Amendment. No material <br />modification or amemhient of this Resolution or of any <br />resolution amendatory hereof or supplemental hereto may be <br />made after the issuance and delivery of the Notes without <br />the consent in writing of the Holders of the Notes. <br />C. Severability. If any one or more of the covenants, <br />agreements or provisions of this resolution should be held <br />contrary to any express provision of law or contrary to the <br />policy of express law, though not expressly prohibited, or <br />against public policy, or shall for any reason whatsoever be <br />held invalid, then such covenants, agreements or provisions <br />shall be null and void and shall be deemed separate from the <br />rerm inirrj covenants, agreements or provisions, and in no way <br />-36- <br />
