12. Compliance. 12.1 UWIRC warrants compliance with all federal immigration laws and regulations relating to employee hiring. (Employment eligibility of the potential employee is verified through First Advantage.) 12.2 Licensor, UWIRC, is registered with and will use the Department of Homeland Security's E -Verify system (www.e-verif-v.gov) to confirm the employment eligibility of all newly hired employees for the duration of this agreement, as required by Section 448.095, F.S. 13. Miscellaneous. 13.1 ASSIGNMENT. Neither party can assign its rights or obligations under this Agreement absent written consent from the other party. ENTIRE AGREEMENT. This Agreement together with all Exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous representations, understandings or agreements, whether written or oral, relating to the subject matter of this Agreement. SEVERABILITY. Should a court of competent jurisdiction find any provision of this Agreement to be invalid or otherwise unenforceable, that provision shall be severed from the Agreement, with the remaining provisions to be enforced to the maximum extent allowed by law. WAIVER. A waiver by either party of any right contained herein shall not constitute a future or continuing waiver of that right, or any other right. MODIFICATION. The provisions of this Agreement may not be waived, amended or modified unless agreed to in writing by both parties. FORCE MA.IEURE. Neither party shall be liable for any delays in performance resulting from circumstances or causes beyond its reasonable control, including without limitation, fire or other casualty, act of God, terrorism, strike or labor dispute, war or other violence, the stability or availability of the Internet or any portion thereof, or any law, order or requirement of any government agency or authority. GOVERNING LAW. This Agreement shall be governed by, and performed in accordance with, the laws of the State of Florida, without regard to its conflicts of laws provisions. SURVIVAL. The following provisions shall, by their nature, survive any termination or expiration of this Agreement: 1.2, 3, 4, 6.2, 7, 8, 9, 10,11,12 and 13. 13.2 UWIRC certifies that it and those related entities of UWIRC as defined by Florida law are not on the Scrutinized Companies that Boycott Israel List, created pursuant to s. 215.4725 of the Florida Statutes, and are not engaged in a boycott of Israel. Indian River County may terminate this Contract if UWIRC, including all wholly owned subsidiaries, majority-owned subsidiaries, and parent companies that exist for the purpose of making profit, is found to have been placed on the Scrutinized Companies that Boycott Israel List or is engaged in a boycott of Israel as set forth in section 215.4725, Florida Statutes. 6
