<br />ASSIGNMENT OF CLAIM OF LIEN
<br />KNOWN ALL MEN BY THESE PRESENTS, that INDIAN RIVER COUNTY, having
<br />an address of c/o Board of County Commissioners, 1840 251' Street, Vero Beach, Florida 32960,
<br />Attn: Art Reisfeld ("Assi nor"), in consideration of ONE HUNDRED SEVENTY-SEVEN
<br />THOUSAND EIGHT HUNDRED EIGHTEEN AND 02/100 DOLLARS ($177,818.02) and
<br />other good and valuable consideration the receipt and sufficiency of which are hereby
<br />acknowledged, paid by MHC LENDING LIMITED PARTNERSHIP, an Illinois limited
<br />partnership, having an address of c/o Manufactured Home Communities, Inc., Two North
<br />Riverside Plaza, Chicago, Illinois 60606 ("Assi nee"), does hereby assign, transfer, sell, convey
<br />and set over unto Assignee, its successors and assigns, all of Assignor's right, title and interest
<br />in and to (i) that certain Claim of Lien in favor of Assignor, dated August 23, 1993, recorded
<br />August 27, 1993, at Official Records Book 986, page 835, in the original amount of $266,558.20,
<br />plus accrued interest and penalties, if any; and (ii) that certain Claim of Lien in favor of Assignor,
<br />dated July 21, 1994, recorded July 26, 1994, at Official Records Book 1028, page 996, in the
<br />original amount of $318,742.05, plus accrued interest and penalties, if any, both of the Public
<br />Records of Indian River County, Florida.
<br />The above described Claims of Lien encumber the lands more particularly described in
<br />Exhibit A attached hereto.
<br />TO HAVE AND TO HOLD the same unto the said Assignee and its successors and assigns
<br />forever.
