i <br />Cil <br />THE PRODUCTS OR SERVICES OTHER THAN THOSE EXPRESSLY <br />STATED IN THIS CONTRACT, AND DOES NOT AUTHORIZE ANY <br />PERSON (INCLUDING SELLER'S MANUFACTURER'S <br />REPRESENTATIVES AND SALES OR OTHER AGENTS OR <br />SUBCONTRACTORS OR SUPPLIERS) TO ASSUME FOR SELLER ANY <br />OTHER OBLIGATIONS OR LIABILITIES. <br />19. Severability <br />The invalidity, in whole or in part, of any paragraph a part of any <br />paragraph of this Contract shall not affect the validity of the remainder of <br />such Paragraph or the contract. Each paragraph shall be enforceable to <br />the maximum extent permitted by applicable law. <br />20. Headings <br />Section headings are inserted for convenience only and shall not be used <br />in any way to construe the meaning of terms used in this Contract <br />21. Governing Law <br />The validity, performance and all matters relating to the interpretation and <br />effect of this Contract any amendment thereto shall be governed by the <br />laws of the Commonwealth of Virginia. Buyer consents to the personal <br />jurisdiction of the state and federal courts and arbitrators in the <br />Commonwealth of Virginia, which courts and arbitrators shall constitute <br />the exclusive forum for the enforcement of this Contract and the resolution <br />of all Disputes related to the subject of this Contract, whenever, wherever <br />and however arising, whether at law, in equity or otherwise and whether <br />the Dispute involves any alleged breach of contract, violation of law or tort <br />of any kind. <br />22. No Third Party Beneficiaries; Assignment <br />The provisions of this Contract are solely for the benefit of Buyer and <br />Seller and no other person. No other person or third party is intended to <br />be beneficiary of nor is entitled to rely upon or enforce any of the terms <br />and provisions of this Contract or to assert any claim for any <br />nonperformance of this Contract by any party. This Contract may not be <br />assigned by either Seller or Buyer without the prior written consent of the <br />other party.
