e <br />NOW THEREFORE, in consideration of the mutual terms, conditions, promises, covenants <br />and premises hereinafter set forth and pursuant to the statutory authority set forth herein, the <br />COUNTY and the SCHOOL DISTRICT agrees as follows: <br />1. The foregoing recitals are hereby incorporated and made a part hereof. <br />2. Joint Facility: The SCHOOL DISTRICT has approved on February 23,1999 and on <br />April 27, 1999 the cooperative use of the property that is the subject of the Option <br />Agreement for Sale and Purchase between Indian River County (Buyer) and Annette <br />R. Roberts, Trustee (Seller). The SCHOOL DISTRICT shall purchase a minimum <br />of 15 acres of the total 25 acre site from Indian River County. Both COUNTY and <br />the SCHOOL DISTRICT intend to work together in a fleet management and <br />warehousing complex. <br />The cost to the SCHOOL DISTRICT shall be the same cost per acre paid by the <br />COUNTY, including survey, closing costs, and related costs, for the prorata acreage <br />purchased by the SCHOOL DISTRICT. The closing shall take place no later than <br />December 31, 2000. <br />3. An intergovernmental COUNTY/SCHOOL DISTRICT Committee is hereby <br />established to coordinate and administer the land acquisition, engineering, planning, <br />construction, and operation of a joint Fleet Management, warehousing, and related <br />facility complex composed of the following: <br />The Chairman of the School Board Board of County Commission Chairman <br />Superintendent of the School Board County Administrator <br />Director of Facilities of the School Board Public Works Director <br />4. This agreement shall take effect upon ratification of both the SCHOOL DISTRICT <br />and the COUNTY. <br />5. Any disputed issues which cannot be resolved by The Committee shall be submitted <br />to the School Board and the Board of County Commissioners. The Committee shall <br />review unresolved issues after input from the SCHOOL DISTRICT and the <br />COUNTY on at least one occasion. If the issues cannot be resolved by the SCHOOL <br />DISTRICT or the COUNTY, both groups shall commit to a joint session to review <br />the disputed issue. By participating in this process the SCHOOL DISTRICT or the <br />COUNTY does not waive their right to litigate issues raised before The Committee <br />or at the public meeting. <br />6. By execution of this agreement, neither the COUNTY nor the SCHOOL DISTRICT <br />will be deemed to have waived any rights or remedies they may have available under <br />the laws of the State of Florida. <br />7. This agreement shall be executed in duplicate and each fully executed contract shall <br />be deemed an original instrument. <br />8. A copy of this agreement and all subsequent amendments hereto shall be recorded <br />
