V , <br />Q\ <br />PROFESSIONAL SERVICES AGREEMENT J q-! 7 <br />BETWEEN <br />CEOSYNTEC CONSULTANTS, INC. <br />AND SWDD CpI+TiRACT 99902 <br />INDIAN RIVER COUNTY SOLID WASTE DISPOSAL DISTRICT <br />This Professional Services Agreement ("Agreement") is made effective this day of 1949 <br />by and behveen 3eoSyntec Consultants, Inc. ("GeoSyntec"), located at 621 NW 53` Street, Suite 65(f, Boca Raton, <br />Florida 31487, and Indian River County Solid Waste Disposal District ('SWDD"), located at 1840 25v` Street, Vero <br />Beach, Florida. This Agreement was developed for the scope of services to be performed by GeoSyntec in response <br />to Indian River County's Request For Proposal (RFI') No, 9040: Closed Landfill Lnvesrigcrrion — Professional <br />Engineering Services. The scope of work that may be perforated by GeoSyntec under this Agreement includes, but <br />is not limited to, :he following: <br />■ Groundwater Monitoring Plans for all closed landfill sites, including all data gathering activities, data <br />analyses, and reports related thereto; <br />Contamination Assessment Reports as deemed necessary for certain closed landfill sites, including all <br />data gathering activities, data analyses, and report documentation related thereto; <br />• geophysical surveys, borings, piezometers, monitoring wells and other subsurface investigations, <br />including all necessary permits related thereto; <br />+ environmental surveys and audits required for property transactions involving County facilities or <br />property; <br />sampling and testing services for various media (e.g., groundwater, surface water, soil, and air); <br />groundwater flow and contaminant transport modeling as needed to develop groundwater monitoring <br />plans and/or remedial systems; <br />• risk assessments as needed to develop risk-based cleanup goals; <br />• Remedial Investigation and Feasibility Studies (RI/FS) For landfill sites that have been adversely <br />impacted; <br />• Remedial Action Plans and designs, including all necessary permits related thereto, immediately for the <br />Gifford Road Landfill site and for other sites if remediation is necessary; <br />• design, bidding, and construction -phase services in the implementation of remediation requirements <br />that may be necessary; and <br />expert witness testimony and consultation. <br />NOW, TIiEREFORE, in consideration of the promises set forth below, the parties hereby agree as follows: <br />WORK AUTHORIZATIONS <br />The Scope of Services (hereinafter "Services") and the schedule and charges for lite Services are to be set forth in a <br />written Work Authorization or Work Authorizations to this Agreement. Each Work Authorization shall be prepared <br />by GeoSymec in coordination with SWDD. Each Work Authorization shall be approved by the SWDD prior to <br />initiation of work. 'The terms and conditions of this Agreement shall apply to each Work Authorization, except to <br />the extent expressly modified by the Work Authorization. Unless otherwise stated in the Work Authorization, the <br />method of charging for the Services shall be based on time and materials in accordance with the following: <br />Labor Costs. The SWDD shall pay an amount equal to GeoSyntcc's Direct Labor Costs plus overhead, <br />calculated at 2.19 times Direct Labor Costs, for all basic services rendered by GeoSyntec personnel <br />(see Exhibit A). GeoSyntec's Direct Labor Costs shall equal the average hourly rate by class of <br />employee. For salaried employees, the hourly average rale shall equal. salary divided by 10SU (i.e., 40 <br />hours/week times 52 weeks/year). <br />Reimbursable Expenses. SWDD shall pay the cost time; a factor of 1.1 (excluding professional <br />subconsullams). <br />Protcs6onal Subconsultants. For services perfonned by `ndcpendcnt professional subconsultants <br />employed by GeoSyntec, the SWDD shall pay no mark-up. <br />INDIANRI.DOC <br />
