EXTENSION TO MEMORANDUM OF UNDERSTANDING <br />FOR ANIMAL SHELTER SERVICES <br />THIS EXTENSION TO MEMORANDUM OF UNDER TANDING FOR ANIMAL <br />SHELTER SERVICES ("Extension") is entered into as of thisIS�y of , 2023, <br />by and between the Humane Society of Vero Beach & Indian River County, Flork1k, Inc. a Florida <br />not for profit corporation, whose address is 6230 77`h Street, Vero Beach, Florida, 32967 <br />("Society") and the Board of County Commissioners of Indian River County, a political <br />subdivision of the State of Florida, whose address is 1801 27`h Street, Vero Beach, Florida, 32960 <br />("County"). <br />BACKGROUND RECITALS <br />A. On January 12, 2021, Society and County entered into an Extension to the <br />Memorandum of Understanding for Animal Shelter Services, which commenced on <br />May 1, 2021, and lasts for twelve months; and <br />B. The parties agreed to extend the Memorandum of Understanding for an additional thirty <br />days, until May 31, 2022; and <br />C. On June 14, 2022, the Indian River County Board of County Commissioners ("Board") <br />approved an extension until November 20, 2022, at a flat monthly fee of $43,000; and <br />D. On November 22, 2022, the Board approved an extension until November 30, 2023; <br />and <br />E. The parties wish to extend the Memorandum of Understanding for Animal Shelter <br />Services for an additional 12 months commencing December 1, 2023; and <br />F. The parties also are willing to agree to increase the compensation from $43,000 per <br />month to $46,870 per month <br />NOW THEREFORE, in accordance with the mutual covenants herein contained and other <br />good valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the parties agree as follows: <br />1. The above background recitals are true and correct and are incorporated herein. <br />2. The Memorandum of Understanding for Animal Shelter Services is extended until <br />November 30, 2024. <br />3. Section 1.3 Compensation and Reports shall be amended as follows: <br />a. The County shall pay the Society a flat monthly fee of $46,870, which shall <br />commence on December 1, 2023, for the services described herein. <br />Page 1 1 <br />
