SCHEDULE 6.18 <br />TO Arrsnaemenu <br />1. Programming Supply Agreement, dated December 30, 1997, between Satellite Services, <br />Inc. and Falcon, and the Levier Agreement, dated December 30, 1997 between TCl- <br />Communications, Inc., Falcon and FHGLP, as amended, will be terminated, and no <br />obligations arising thereunder will survive the termination, except that Buyer has agreed <br />to the matters set forth herein. <br />2. After the Closing Buyer shall cause the Falcon Companies to continue to carry on the TCI <br />Systems, during the period for which the Falcon Companies were contractually bound, the <br />programming services offered by Encore Media Croup LLC to the extent such <br />programming services were carried on the TO Systems on September 30, 1998 and shall <br />pay Encore Media Group LLC on the last day of each calendar month a fixed monthly fee <br />as previously provided in Buyer. <br />3. After the Closing Buyer shall cause the TCI Systems to be included under existing <br />agreements between Buyer (or its AffiliaLn) end die providers of the fcllmsing <br />programming services (to the extent that such programming service-, were carried on the <br />TO Systems on September 30,1998): American Movie Classics. Bravo, Romance <br />Classics. <br />4. Buyer agrees that after the Closing the TO Systems shall become subject in an At Home <br />Corporation distribution agreement containing term and conditions that are no less <br />favorable to Buyer than the terms and conditions of Buyes (or it affiliates) existing <br />@Home Network Distribution Agreement covering its Fon Worth, Texas cable system, <br />except that At Home Corporation shall remain the exclusive Internet service provider for <br />the TCI SYtems for a period ending no earlier than June 4, 2002. <br />Schedule 6.18 — Page I Ltl <br />
