-6 - <br />SECTION 5: TERMINATION <br />This Agreement shall be terminated (i) upon disbursement or release of the entire or <br />remaining Adjustment Fund by the Escrow Agent, (ii) by written mutual consent signed by all <br />parties, or (iii) payment of the Adjustment Fund into a court ofcompetent jurisdiction in <br />accordance with Section 3.4 hereof.
