"Licenses" means all domestic satellite, business radio and other FCC Licenses, and all other <br />Iiceaus, authorizations and permits issued by any Governmental Authority that are held by a Falcon <br />Company in the business and operations of the Systems, excluding the Franchises. <br />"Loss" means any claim, losses, liabilities, damages, penalties, costs and expenses <br />(excluding any and all consequential, incidental and special damages). <br />"Material Adverse Effect" means a material adverse effect on the business, results of <br />operations, assets, liabilities or financial condition of the Falcon Companies, taken as a whole or the <br />Systems, taken as a whole, but without giving effect to any effect resulting from (i) changes in <br />conditions (including economic conditions, Rate Regulatory Matters and other federal or sate <br />governmental actions, proposed or enacted legislation or proposed or enacted regulations) that are <br />applicable to the economy or the cable television industry in general on a national, regional or sate <br />basis or (ii) any changes in competition affecting the business of the Falcon Companies. <br />"Material Contract" means any Contract that requires payments by a Falcon Company in the <br />aggregate of more than $150,000 per year, any Contract containing a noncompete covenant binding <br />on any of the Falcon Companies, any Contract relating to the business of providing Internet access <br />or telephony services, any Contract relating to a pending purchase or sale of cable television <br />systems, and any partnership agreement, limited liability operating agreement or similar agreement <br />pursuant to which any Falcon Company has made an investment in an Investment Person, but <br />"Material Contract" specifically excludes all subscription agreements with customers (including, <br />multiple dwelling unit agreements and Contracts with Bulk Subscribers), pole attachment <br />agreements and conduit agreements, and construction contracts. <br />"Material FCC Consent" means any Consent of the FCC that is necessary for the transfer of <br />control to Buyer in connection with the consummation of the transactions contemplated by this <br />Agreement with respect to the Licenses identified in Schedule 1.1(e). <br />"MONY Agreement" means the Now purchase and Exchange Agreement dated as of <br />October 21,1991, among Falcon Telecable, a California Limited Partnership, AUER & CO., and <br />J. Romeo & Co., relating to the 11.56010 Series A Subordinated Notes due March 31, 2001 and <br />11.56% Series B Subordinated Notes due March 31, 2001, as the same may be amended and in <br />effect frnm time to time. <br />"MONY Notes" means the Notes issued pursuant to the MONY Agreement. <br />"Nathanson Agreement" shall mean the agreement relating to the appointment of Marc <br />Nathanson as ViceChainamt ofChaner and as a director of my public entity formed by Charter and <br />related items relating to such appointment, including office space and staff assistance for Mr. <br />Nathanson, that has been entered into concurrently with the execution of this Agreement <br />"Organizational Documents" means, with respect to any Person (other than an individual), <br />the articles or certificate of incorporation, bylaws, certificate of limited partnership, partnership <br />oroinnmrt¢mmou <br />
