APPENDIX I <br />TD eTREASURY SERVICES <br />This Appendix is incorporated by reference into the parties' Cash Management Master Agreement and governs Customer's use of <br />the Bank Internet System (the "Services" or "eTreasury"). All capitalized terms used herein without definition shall have the <br />meanings given to them in the parties' Cash Management Master Agreement. Except as otherwise expressly provided in this <br />Appendix, to the extent that this Appendix is inconsistent with the provisions of the Cash Management Master Agreement, this <br />Appendix and any amendment hereto from time to time shall control, but only to the extent necessary to resolve such conflict. <br />TERMS AND CONDITIONS <br />1. Definitions. <br />' Account(s) " means, with respect to eTreasury, a <br />checking, regular statement savings, money market deposit, <br />certificate of deposit, investment or commercial loan or line <br />of credit account(s) Customer maintains with Bank for <br />business or non -consumer purposes that is designated by <br />Customer for use with the Services, as described below. <br />"Account Agreement" means, in addition to the <br />meaning contained in the parties' Cash Management Master <br />Agreement, any and all agreements between Customer and <br />Bank which govern Customer Accounts (as defined above) <br />and which were provided to Customer when Customer <br />opened its Account(s), or any other documents governing <br />Customer's Account(s), each as may be amended from time <br />to time. <br />"Administrator" or `Account Administrator" <br />means Customer's employee(s) or other person(s) that <br />Customer (or any Administrator designated by Customer) <br />designates on the Services' Setup Form(s) (or by on-line <br />changes to such designations as described below) as being <br />its Authorized Representative, or as authorized to act on <br />Customer's behalf, with respect to the Services. <br />`Authorized User" means any person Customer's <br />Administrator designates as being authorized to access or <br />use any of the Services on Customer's behalf. <br />"Login ID" means the electronic identification, in <br />letters and numerals, assigned to Customer by Bank or to any <br />additional Authorized Users designated by Customer's <br />Account Administrator. <br />"Payment" means a transfer of funds to or from <br />Customer's Account(s). <br />2. Services. <br />2.1 This Appendix describes the terms and <br />conditions under which Bank will provide Customer with <br />access to and use of any of the electronic information <br />delivery and transaction initiation services that Bank makes <br />available using the Bank Internet System. <br />2.2 By accessing the Services with the <br />Access Devices (as defined in the Cash Management Master <br />Agreement), Customer may perform any or all of the <br />Services described in this Appendix and selected for use in <br />the Services' Setup Form(s) and that Bank has approved for <br />Customer's use. Bank reserves the right to reject Customer's <br />Services' Setup Form(s), schedules and other required <br />documents and to refuse Customer access to or use of the <br />Services for any reason and in Bank's sole discretion. Bank <br />may, in its sole and exclusive discretion, introduce new <br />features of the Services from time to time but is not required <br />to notify Customer of the availability of any such new <br />features. <br />2.3 By subscribing to the Services, <br />Customer will have access to the Services' basic features, <br />which include but may not be limited to, in Bank's sole and <br />exclusive discretion, the following: <br />2.3.1 Previous -Day Balance <br />Reporting. Previous -Day Balance Reporting allows <br />Customer to review the balances and transaction history in <br />Customer's checking, savings, money market deposit and <br />loan Account(s) for such period of time as described in the <br />Services' Setup Form(s). Customer may also view images <br />of deposit tickets, deposit items, paid checks and return <br />deposited items. This information may be viewed upon <br />implementation of the Services. The scope of the time <br />periods for which transactional history and check images <br />may be viewed (including pre -implementation periods) may <br />vary and depend upon various factors, such as when <br />Account(s) were opened and when the Services were first <br />implemented and set-up. <br />2.3.2 Real -Time Balance <br />Reporting. Real -Time Balance Reporting allows Customer <br />to review current Account balance(s) and transaction activity <br />in real -rime. <br />2.3.3 Book Transfers. Book <br />Transfers allows Customer to make intra -Bank fund <br />transfers between Customer's checking, savings and loan <br />Accounts. <br />15 of 54 0522 <br />
