4.1 Bank acts as the "Lead Bank" when <br />Bank receives Customer's previous Business Day's <br />account(s) balance and/or associated transaction information <br />relating to Customer's accounts at other financial institutions <br />("Foreign Account(s)"), from such other financial <br />institutions (as Reporting Banks) designated by Customer <br />through designated third -party clearing house(s). All <br />Foreign Account balance and/or associated transaction <br />information received by Bank from such Reporting Banks' <br />designated third -party clearing house(s) (the "Customer - <br />Designated Inbound Data") shall be delivered by Bank to <br />Customer through the Bank Internet System. <br />4.2 The Services' Inbound Data Exchange <br />feature is an information delivery service only, and Bank <br />reserves the right to limit the Customer -Designated Inbound <br />Data provided to Customer to specific fields of information. <br />4.3 Bank cannot guarantee the delivery, <br />content or accuracy of Reporting Banks' Customer - <br />Designated Inbound Data. <br />4.4 Bank's sole responsibility with respect <br />to Customer -Designated Inbound Data is to display data <br />actually received by Bank in a format or file layout <br />acceptable to Bank. Bank shall have no responsibility or <br />liability with respect to unavailability of, errors in, or other <br />aspect of Customer -Designated Inbound Data. In the event <br />that Foreign Accounts are denominated in currencies other <br />than U.S. dollars, Customer agrees that reporting under this <br />Appendix may not accurately reflect the applicable currency <br />of the Foreign Account, and Customer bears sole <br />responsibility for properly interpreting Customer - <br />Designated Inbound Data in foreign currencies. <br />4.5 Bank requires prior written notice from <br />Customer of any modification to the Customer -Designated <br />Inbound Data. <br />4.6 Customer acknowledges and agrees that <br />use of the Services' Inbound Data Exchange feature requires <br />that certain non-public Customer account and financial <br />information (including, without limitation, balance and <br />transaction details) be transmitted to Bank from specified <br />Reporting Banks and the use of third -party clearing house(s) <br />of Reporting Banks and Bank. By selecting the Services, <br />Customer expressly authorizes Bank to use such non-public <br />Customer account and financial information as necessary in <br />its performance and delivery of the Services via the Bank <br />Internet System. <br />4.7 By selecting the Services, Customer <br />represents and warrants to Bank that it has executed and <br />delivered to the applicable Reporting Banks all necessary <br />authorizations for such Reporting Banks to transmit <br />Customer's non-public account and financial information to <br />Bank. Bank is not responsible for the acts or omissions of <br />Customer's Reporting Bank(s) or its participating third - <br />party clearing house(s), as the same may change from time <br />to time. <br />5. Effectiveness. Customer agrees to all the terms <br />and conditions of this Appendix. The liability of Bank under <br />this Appendix shall in all cases be subject to the provisions <br />of the Cash Management Master Agreement, including, <br />without limitation, any provisions thereof that exclude or <br />limit warranties made by, damages payable by or remedies <br />available from Bank. This Appendix replaces and supersedes <br />all prior agreements on file with respect to the Services and <br />shall remain in full force and effect until termination or such <br />time as a different or amended Appendix is accepted in <br />writing by Bank or the Cash Management Master Agreement <br />is terminated. <br />Remainder of page intentionally left blank. <br />LAPID 51 oj5488076 <br />0722 <br />
