limitation, any provisions thereof that exclude or limit <br />warranties made by, damages payable by or remedies <br />available from Bank. <br />7.2 Wrongful Payment/Posting. It shall <br />constitute wrongful payment/posting by Bank if Bank <br />pays/posts an Exception Entry for which Customer has <br />provided a Return Decision by the pre -established deadline <br />set forth within the Services and otherwise in accordance <br />with the other terms of this Appendix. In the event that there <br />is wrongful payment/posting, Bank shall be liable to <br />Customer for the lesser of the amount of the wrongfully <br />paid/posted Exception Entry or Customer's actual damages <br />resulting from Bank's posting of the Exception Entry, <br />subject to the terms of the parties' Cash Management Master <br />Agreement. <br />7.3 Rightful Payment and Return. <br />7.3.1 If Bank honors an Exception <br />Entry in accordance with a Pay Decision by Customer as <br />described in Section 5.2, such payment/posting shall be <br />rightful, and Customer waives any right it may have to assert <br />otherwise. <br />7.3.2 If Bank returns an Exception <br />Entry in accordance with a Return Decision by Customer as <br />described in Section 5.1, or otherwise pursuant to a Return <br />Default Disposition as described in this Appendix, the return <br />shall be rightful, and Customer waives any right it may have <br />to assert otherwise. <br />7.3.3 Customer agrees that Bank <br />exercises ordinary care whenever it rightfully pays/posts or <br />returns an Exception Entry consistent with the provisions of <br />this Appendix. <br />8. Other Terms of the Services. <br />8.1 Customer acknowledges that the <br />Services do not preclude Bank's standard ACH processing <br />procedures or the application of the NACHA Rules, which <br />may cause an ACH Entry to be dishonored even if <br />Customer's instructions do not otherwise require Bank to <br />return such ACH Entry. <br />8.2 Customer acknowledges that the <br />Services do not apply to transactions between Customer and <br />Bank, including any Bank affiliates and subsidiaries, such as <br />loan or credit card payments ("Bank -Related Entries"). <br />Bank is permitted to pay Bank -Related Entries whether or <br />not Customer has included these in Customer's ACH <br />Authorizations as reflected in this Appendix and until such <br />time as Customer's authorization with respect to the <br />underlying Bank -Related Entries is revoked or otherwise <br />terminated. <br />8.3 Customer acknowledges that the <br />Services are intended to be used to identify and return ACH <br />Entries which Customer suspects in good faith are <br />fraudulent, unauthorized or otherwise unwarranted. The <br />Services are NOT intended to be a substitute for <br />authorization instructions or to delay Customer's decision on <br />ACH Entries, including but not limited to stop payment <br />orders on ACH Entries which are not suspected in good faith <br />to be unauthorized. If Bank suspects or deems, in Bank's <br />sole discretion, that Customer is using the Services contrary <br />to those intentions, Bank may require Customer to provide <br />evidence that ACH Entries that Bank returns pursuant to <br />Customer's instructions were in fact unauthorized. In <br />addition, Bank may hold Customer liable for losses that <br />Bank sustains on ACH Entries which Bank is requested to <br />return under the Services and which Customer does not <br />reasonably establish as unauthorized ACH Entries, including <br />as under the NACHA Rules. <br />9. Termination; Effectiveness. <br />9.1 The parties may terminate this <br />Appendix and/or the Services in accordance with the terms <br />and conditions of the Cash Management Master Agreement. <br />This Appendix and the associated Services shall <br />automatically terminate in the event the underlying <br />Authorized Account(s) are closed. In the event of <br />termination of this Appendix and the associated Services, <br />Customer's ACH Authorizations in effect as of the date of <br />termination will remain in effect with respect to Customer's <br />Authorized Accounts, and all ACH Entries will thereafter be <br />processed in accordance with such ACH Authorizations. <br />9.2 Customer agrees to all the terms and <br />conditions of this Appendix. The liability of Bank under this <br />Appendix shall in all cases be subject to the provisions of the <br />Cash Management Master Agreement, including, without <br />limitation, any provisions thereof that exclude or limit <br />warranties made by, damages payable by or remedies <br />available from Bank. This Appendix replaces and supersedes <br />all prior agreements on file with respect to the Services, <br />except for any existing ACH Authorizations currently on <br />record with regard to the Authorized Account(s) as of the <br />date of this Appendix. <br />Remainder of page intentionally left blank. <br />CAP ID 54 oj5488101 <br />0722 <br />
