IRC-2304_AGRE EMENT 202311212024011 <br />Annual Asphalt Paving and Resurfacing <br />AGREEMENT <br />THIS AGREEMENT is by and between INDIAN RIVER COUNTY, a Political Subdivision of the State of Florida <br />organized and existing under the Laws of the State of Florida, (hereinafter called OWNER) and M&M Asphalt <br />Maintenance, Inc., D/B/A All County Paving (hereinafter called CONTRACTOR). OWNER and CONTRACTOR, <br />in consideration of the mutual covenants hereinafter set forth, agree as follows: <br />ARTICLE 1- WORK <br />CONTRACTOR shall complete all Work as specified or indicated in the Contract Documents. The Work is <br />generally described as follows: <br />Asphalt Paving and Resurfacing <br />ARTICLE 2 - THE PROJECT <br />2.1 The Project for which the Work under the Contract Documents may be the whole or only a part is <br />generally described as follows: <br />Project Name: Annual Asphalt Paving and Resurfacing (IRC -2304) <br />Bid Number: 2024011 <br />Project Address: Countywide <br />2.2 Asphalt paving and resurfacing services shall be identified in individual Task Assignments prepared <br />by the COUNTY, referencing an existing Purchase Order, and signed by the Public Works Director or his <br />designee. Task Assignments shall include a location and description of paving and resurfacing services to <br />be performed, and an anticipated deadline for completion of the work to be performed by the <br />CONTRACTOR; and any other additional instructions or provisions relating to the specific project that does <br />not conflict with the terms of this Agreement. <br />2.3 Services related to any individual Task Assignment which would increase or decrease cost, or <br />which are otherwise outside the scope of Services or level of effort must be approved by the COUNTY. <br />2.4 No representation or guarantee is made by Indian River County as to the minimum or maximum <br />dollar value, volume of work, or type of work, if any, that CONSULTANT will receive during the term of <br />this Agreement. <br />ARTICLE 3 - CONTRACT TIMES <br />The initial contract term shall be for a one (1) year period from the date of award. Indian River County ("the <br />County") reserves the option to extend the contract for two additional periods of one (1) year each, subject <br />to vendor acceptance, satisfactory performance and staff's determination that a renewal would be in the <br />best interest of the County. <br />
