s• County may terminate this contract if it finds that it is in the public interest. County shall be liable for all services performed in accordance with this agreement up to the time of termination. The parties Intend that the agency in performing services specified in the agreement, shall act as an independent contractor and shall have control of its own work duties and the manner in which it is performed. The agency shall be free to contract for similar services to be performed for other employees while the agency is under contract with County. The agency is not to be considered an agent or employee of the County. The agency shall indemnify County against all liability or loss, and against all claim or actions based on or arising out of injury to, or death of persons, or damage to or loss of property, caused by acts or neglect of the agency or the agency or employees or agents in connection with the performance of this contract. T.__As wa!11ent This agreement may not be assigned by the agency without prior written consent of the County. 8. Prier Agreements All previous agreements or arrangements which may have been made or had with reference to the duties set forth herein, or with reference to the compensation of the agency for or in respect to such duties are wholly abrogated, discharged and annulled; it being that this agreement constitutes and expresses the whole agreement of the parties with reference to the duties herein, and compensation for or in respect to such duties; all promises, undertakings, representations, agreements, understandings and arrangements with reference to such duties and compensation being merged in this written agreement.
