Walther <br />Continental Shelf Associates, Inc. <br />759 'parkway Street <br />Jupiter, Florida 33477 <br />SECTION 8. SUBCONTRACTS <br />A. If the CONSULTANT subcontracts any or all of the work required by this Agreement, the <br />CONSULTANT agrees to include in the subcontract that: (1) the subcontractor is bound by all <br />applicable stateand federal laws and regulations and the terms and conditions of this Agreement, and <br />(2) the subcontractor shall hold the COUNTY and the Department of Community Affairs harmless, <br />consistent with Section 5 of this Agreement, against all claims of whatever nature arising out of the <br />subcontractor's performance of work under this Agreement. The COUNTY shall approve all <br />subcontractors and subcontracts before a contract is executed between the CONSULTANT and <br />subcontractor.. <br />B. The CONSULTANT shall provide executed copies of each subcontract to the COUNTY within <br />ten (10) days of execution. <br />SECTION 9. FUNDING/CONSIDERATION <br />A. This is a fixed fee Agreement. As consideration for performance of work rendered under this <br />Agreement, the COUNTY agrees to pay the CONSULTANT a fixed fee not to exceed: $99„500.00. <br />B. The satisfactory completion of work by the CONSULTANT, as accepted by the COUNTY, and <br />in accordance with Attachment A, shall be considered the CONSULTANT'S request for payment. <br />SECTION 10. ENTIRETY OF AGREEMENT <br />The parties agree that this Agreement sets forth the entire agreement between the parties, and there <br />are no promises or understandings other than those stated herein. <br />SECTION 11. INVALIDITY OF CLAUSES <br />The validity of any portion, article, section, paragraph, provision, clause, or any portion thereof of <br />4 <br />
