The County is party to other various legal proceedings which individually are not <br />expected to have a material adverse effect on its operations or financial condition, but may, <br />in the aggregate, have a material impact thereon. However, in the opinion of the County <br />Attorney, the County will either successfully defend such actions or otherwise resolve such <br />matters without any material adverse consequences. <br />LEGAL MATTERS <br />Certain legal matters in connection with the authorization, issuance and sale of the <br />Series 2024 Bonds are subject to the approval of Nabors, Giblin & Nickerson, P.A., Tampa, <br />Florida, Bond Counsel, whose approving opinion will be available at the time of delivery <br />of the Series 2024 Bonds. Nabors, Giblin, & Nickerson, P.A., Tampa, Florida, is also <br />serving as Disclosure Counsel to the County. Certain legal matters will be passed upon for <br />the County by William K. DeBraal, Esq., County Attorney. <br />The proposed form of the Bond Counsel opinion is attached hereto as Appendix D, <br />and reference is made to such form of opinion for the complete text thereof. The actual <br />legal opinion to be delivered may vary from that text if necessary to reflect facts and law <br />on the date of delivery. The opinion will speak only as of its date, and subsequent <br />distribution of it by recirculation of the Official Statement or otherwise shall create no <br />implication that Bond Counsel has reviewed or expresses any opinion concerning any of <br />the matters referenced in the opinion subsequent to its date. <br />Bond Counsel has not been engaged to, nor has it undertaken to, review (1) the <br />accuracy, completeness or sufficiency of this Official Statement or any other offering <br />material relating to the Series 2024 Bonds; provided, however, that Bond Counsel will <br />render an opinion to the Underwriter and the County relating to the accuracy of certain <br />statements contained herein under the heading "TAX MATTERS" and certain statements <br />which summarize provisions of the Bond Resolution and the Series 2024 Bonds, and (2) <br />the compliance with any federal or state law with regard to the sale or distribution of the <br />Series 2024 Bonds. <br />ENFORCEABILITY OF REMEDIES <br />The remedies available to the owners of the Series 2024 Bonds upon a monetary or <br />covenant default under the Bond Resolution are in many respects based upon judicial <br />actions which are often subject to discretion, delay and equitable considerations. Under <br />existing constitutional and statutory law and judicial decisions, the remedies specified by <br />the Federal bankruptcy code, the Bond Resolution and the Series 2024 Bonds may not be <br />readily available or may be limited. The various legal opinions to be delivered concurrently <br />with the delivery of the Series 2024 Bonds (including Bond Counsel's approving opinion) <br />will be qualified as to the enforceability of the various legal instruments, by limitations <br />Hill <br />
