S&P Global Ratings ("S&P") has assigned a municipal bond rating of " <br />outlook) to the Series 2024 Bonds. Such rating reflects the view of S&P and an explanation <br />of the significance of such rating may be obtained only from S&P at the following addresses <br />S&P Global Ratings, 55 Water Street, New York; New York 10041. Generally, a rating <br />agency bases its rating on the information and materials furnished to it and on <br />investigations, studies and assumptions of its own. There is no assurance that such rating <br />will continue for any given period of time or that such rating will not be revised downward <br />or withdrawn entirely by S&P, if, in the judgment of S&P, circumstances so warrant. Any <br />such downward revision or withdrawal of such rating may have an adverse effect upon the <br />market price of the Series 2024 Bonds. <br />UNDERWRITING <br />The Series 2024 Bonds are being purchased by .(the "Underwriter"), at <br />a purchase price of $ (par amount of the Series 2024 Bonds, less an <br />underwriter's discount of $ and . [plus/less] [net] original issue <br />[premium/discount] of $.- See. "ESTIMATED SOURCES AND USES OF <br />FUNDS" herein. The offer of the Underwriter to purchase the Series 2024 Bonds, as <br />accepted by the County, provides for the Underwriter to purchase all of the Series 2024 <br />Bonds. The Series 2024 Bonds may be offered and sold to certain dealers and.others at <br />prices lower than such offering prices and such public offering prices may be changed, <br />from time to time, by the Underwriter. <br />CONTINUING DISCLOSURE <br />The County has covenanted for the benefit of the Series 2024 Bondholders to <br />provide certain financial information and operating data relating to the County and the <br />Series 2024 Bonds in each year and to provide notices of the occurrence .of certain <br />enumerated material events. Such .covenant shall. only apply so long as the Series 2024 <br />Bonds remain outstanding under the Bond Resolution. The covenant shall'also cease upon <br />the termination of the continuing disclosure requirements of S.E.C. Rule 15c2 -12(b)(5) <br />(the "Rule") by legislative, judicial or administrative action. The County has agreed to file <br />annual financial information and operating data and its audited financial statements <br />(collectively, the "Annual Report") with the Municipal Services. Rulemaking Board (the <br />"MSRB") through its Electronic Municipal Market. Access system ("EMMA" ), as <br />described in "Appendix E Form of Continuing Disclosure Certificate." The County has <br />agreed to file notices of certain enumerated material events, when and if they occur, with <br />the MSRB through EMMA. The County has engaged HTS Continuing Disclosure <br />Services, a Division of Hilltop Securities Inc., as its dissemination agent. <br />54 <br />
