40 <br />A <br />expenditure of contract funds for the purpose of lobbying the Legislature, judicial branch, or a <br />state agency. <br />XIV. Other <br />The name, address and telephone number of the contact person for the Coalition For this Agreement <br />is; <br />Katherine L. Nall, Executive Director <br />Indian River County Healthy Start Coalition, Inc. <br />3975 20'a Street, Suite D <br />Vero Beach, FL 32960 <br />The name, address and telephone number of the representative for the Vero Beach - Indian River <br />County Recreation Department responsible for the administration of the program under this <br />Agreement is <br />Patricia Callahan, Recreation Director <br />Vero Beach - Indian River County Recreation Department <br />1725 17th Avenue <br />Vero Beach, FL 32960 <br />In the event that different representatives are designated by either party after execution of this <br />Agreement, notice of name, address and phone number of the new representative will be made in <br />writing to the other party and said notification attached to originals of this Agreement. <br />This MOA represents the entire agreement of the parties. Any alterations, variations, changes, <br />expansions, modifications or waivers of the contract shall only be valid when they have been <br />reduced to writing, duly signed by each of the parties hereto, and attached to the original of the <br />MOA. <br />XV. Terraination <br />The following termination provisions shall be applicable to this Agreement; <br />(a) Bi the event that funds appropriated by the Coalition to the Provider become unavailable, the <br />Coalition shall have the right to terminate this Agreement at the time the funding ceases. <br />(b) The Coalition shall have the right to discharge the Provider at any time for cause. The term <br />""cause" shall mean a good faith determination by the Coalition that the Provider has failed <br />or refused to satisfactorily perform any of the Provider's duties, responsibilities and <br />obligations under this Agreement or that the Provider has engaged in any other conduct that <br />has had, or may reasonably be expected to have, a materially obverse effect upon the <br />Coalition. If the Yrovidcr shall ever become subject to discharge for cause, the Coalition <br />shall give the Provider notice to that effect, which notice shall describe the matter or matters <br />constituting the cause. Thereafter, for a period of thirty (30) days from receipt of such <br />notice, the Provider shall have the opportunity to eliminate or cure the matter or matters <br />constituting such cause. If, at the end of such thirty (30) day period, Elie Provider has not <br />Memorandum of Agreement between IRC Healthy Stan. Coalition & IRC Board of County Commission <br />5 <br />
