F--] <br />40 <br />M <br />ENFORCEABILITY <br />Section 11.0 1. ding EffQZ: Enftm=abEity. The teams and ptovisiom set forth in this Agreement <br />shall be binding and enforceable by and against the parties in accordance with the terms hereof. <br />ASSIGNMENT/SUBLEASE <br />Section 12.01. assignment. This Agreement may not be assigned by either party without the prior <br />written consent of the other party, except that this Agreement may be assigned by the Dodgers to any <br />person or entity who acquires the Team (by any form of acquisition), with the approval of Major League <br />Baseball, provided that any such assignee explicitly assumes in writing the Dodgers' duties and <br />responsibilities under this Agreement (in which case the liability of the Dodgers shall cease with respect to <br />liabilities accruing from and after such transfer). <br />Section 12.02. Vie. The Dodgers may sublease, at any time during the Term, any portion of <br />the Facility, including, but not limited to, guest rooms, residential units, offices, practice fields, the <br />clubhouse, weight room, and/or conference facilities located at the Facility. All revenues denved from <br />subletting any of the foregoing shall be retained solely by the Dodgers. Any such sublcase shall retrain <br />subordinate to this Lease. <br />MISCELLANEOUS <br />Section 13.01. Notices.
