E11 40 4b ARITC E xv MISCELLANEOUS 15.1 COtrnternarts. This Agreement may be executed in any number of counterparts and by the different parties hereto on separate counterparts. This Agreement may be executed and delivered by any parry by facsimile transmission; provided, however, that any such party shall promptly deliver an original signed copy of this Agreement. 15.2 HeadinyS. The headings used herein are for convenience of reference only and shall not constitute a part hereof or affect the construction or interpretation hereof. 15.3 Severabi111y. If any clause, provision, or section hereof be held illegal, invalid, or unenforceable by any court, the illegality, invalidity, or unenforceability of such clause, provision or section shall not affect any of the remaining clauses, provisions, or sections hereof, and this Agreement shall be construed and enforced as ifsuch illegal, invalid, or unenforceable clause, provision or section had not been contained herein. 15.4 Waiver, No failure on the part of any party to exercise, and no delay in exercising, and no course of dealing with respect to any right hereunder shall operate as a waiver thereof: nor shall any single or partial exercise of any right hereunder preclude any other or further exercise thereof or the exercise of any other right or remedy provided at law or in equity, except as expressly set forth herein. 15.5 Notices.
