J. Contractor will in disclose any potential delays to the Work, as soon as Contractor becomes <br />aware. Contractor, Engineer, and Owner will determine appropriate measures, which may <br />include changes to Contract Times and/or Cost, which will be reflected as a Change Order <br />or Written Amendment to the Agreement. <br />ARTICLE 7 - CONTRACT DOCUMENTS <br />7.01 Contents <br />A. The Contract Documents consist of the following: <br />1. This Agreement; <br />2. Public Construction Bond; <br />3. Certificate(s) of Liability Insurance; <br />4. CONTRACTOR'S Proposal dated June 21, 2024, with Subject "Proposal to Install Landfill <br />Gas Flare Station Equipment and Process Piping Revision One"; <br />5. Drawings and Specifications Prepared by Biogas Engineering, bearing the general title <br />"Landfill Gas Blower Skid & Flare Replacement, and numbered or identified as follows: <br />G445A-D, inclusive; C445A-I, inclusive; S445A-F, inclusive; P445A-L, inclusive; <br />M445A-Z, and M445AA-AM, inclusive; 63 Piping Isometric Plan Sheets; E -445E -K, <br />inclusive; and, J445A-B, inclusive. <br />6. Indian River County Site Plan Approval <br />7. Florida Department of Environmental Protection Air Permit <br />8. Contractor's Application for Payment <br />9. Contractor's Final Certification of the Work <br />io. The following which may be delivered or issued on or after the Effective Date of the <br />Agreement and are not attached hereto: <br />a) Written Amendments <br />b) Change Orders <br />B. In the event of conflict between Contract Documents, the order of prevalence shall be: <br />1. This Agreement and any Written Amendments and Change Orders thereto <br />2. Drawings and Specifications Prepared by Biogas Engineering <br />3. CONTRACTOR'S Proposal Dated June 21, 2024 <br />ARTICLE 8 - MISCELLANEOUS <br />8.oi Terms <br />A. ENGINEER shall refer to OWNER's Consultant, Biogas Engineering. <br />8.02 Assignment of Contract <br />A. No assignment by a party hereto of any rights under or interests in the Agreement will be <br />binding on another party hereto without the written consent of the parry sought to be bound; <br />and, specifically but without limitation, moneys that may become due and moneys that are <br />due may not be assigned without such consent (except to the extent that the effect of this <br />restriction may be limited by law), and unless specifically stated to the contrary in any <br />written consent to an assignment, no assignment will release or discharge the assignor from <br />any duty or responsibility under the Contract Documents. <br />3 <br />
