Y ARTICLE <br />DEFINITIONS <br />I For the purposes hereof, the following terms shall have the meanings stated in this Article 1, <br />except as otherwise expressly provided or unless the context otherwise rcquires: <br />1.1. Aere�, ement shall mean this Development Agreement between the Dodgers and the <br />County. <br />i 1.2. Authorized RcprcsgnL1JiYc means any Person(s) at the time designated as such in <br />writing by either party hereto and furnished to the other party which designation authorizes the <br />designee(s) to act for and bind the designating party with respect to matters covered hereby. In the <br />case of the Dodgers, such designation shall be signed by the President or a Vice President of the <br />Dodgers. In the case of the County, the initial Authorized Representative will be the County <br />Representative. At any time, either party may designate any other Person(s) as its Authorized <br />Represent ative(s) by delivering to the other party a written designation. Such designation shall <br />remain effective until a new written instrument is filed with or actual notice is given to the other party <br />that such designation has been revoked. <br />I <br />1.3. Bonds means Bonds issued pursuant to the Bond Resolution, <br />1.4. Bond Resolution means that certain Bond Resolution or Resolutions adopted for the <br />issuance of the Bonds for the acquisition of tate Land, construction of the Improvements or for any <br />h part thereof and Payment of the Project Costs. <br />1.5. Capital Reserme Account means a repair and replacement reserve account provided <br />t for in the Facility Lease Agreement <br />' 1.6. Certiricate of Substantial fauu&limmeans the certificate issued pursuant to <br />Section id.l hereto, using AIA Form G 704. <br />1.7. Change means any addition to, deletion from or modification of the Project or the <br />Services that is made in accordance with the provisions of Article VIII hereof by written change order <br />signed by the Dodgers. <br />ML 1.8. Milli is defined in Section 9.3 of this Agreement. <br />I 1.9. Consultant's Competitive Ntiationls t means Section 287.055, Florida Statutes. <br />i <br />1.10. Construc 'n <br />.L-iA—PxaHiW7 means the pians and specifications for all phases of <br />construction of the project - <br />2 <br />
