do <br />4D <br />it <br />Tab "B" Agreement for Sale and Purchase between the County and the Dodgers, dated as <br />of September 1, 2000 (the "Real Estate Contract"). This agreement embodies the <br />1 contract between the County, as purchaser, and the Dodgers, as seller, whereby the <br />County will acquire approximately 64 acres of land in Indian River County, Florida <br />known as Dodgertown. Under the heal Estate Contract, the County (subject to <br />customary closing adjustments), will pay $10,000,000 to the Dodgers for a statutory <br />warranty deed to Dodgertown. The Real Estate Contract contains the usual <br />o provisions regarding tithe defects and survey, and requires tine Dodgers to provide the <br />County with a Phase 1 Environmental Report on Dodgertown (and within certain <br />limits, cure any environmental issues resulting from hazardous materials on the land) <br />and an ADA Compliance Report (and within certain limits, cure any ADA <br />deficiencies). <br />Tab "C": Interlocal Agreement between the County and the City dated as of September 1, <br />2000, which was recorded in the public records of Indian River County on September <br />12, 2000.(the "Interlocal Agreement"). The Interlocal Agreement provides for (i) the <br />City's financial contribution to the transaction in the amount of $1,400,000 to fund <br />a portion of the long term repair and replacement reserve fund being established by <br />the County for Dodgertown and (ii) a mechanism to deed to the City a portion of the <br />land or proceeds from the sale of Dodgertown in the event the Dodgers cease using <br />Dodgertown as their sprig training facility. <br />Tab "D": Facility Lease Agreement between the County and the Dodgers dated as of <br />September 1, 2000 (the "Facility Lease"). The Facility Lease embodies the long term <br />arrangement between the County and the Dodgers, under which the Dodgers will <br />lease Dodgertown for a period of approximately twenty (20) years covering twenty- <br />one (2l) spring training seasons, and will have the right to renew the arrangement for <br />four (4) successive five (5) year periods under the same terms and conditions. Under <br />the Facility Lease, the Dodgers will pay a nominal rent to the County of one dollar <br />i ($1.00) per year (payable in advance), and undertake the obligation to pay all the <br />costs of operating and maintaining Dodgertown consistent with the historical <br />maintenance practices of the Dodgers, but in all events at least equal to the <br />Y._ maintenance standards utilized at other similar spring training facilities. Although the <br />County is funding a repair and replacement reserve for Dodgertown with an initial <br />deposit of $2,000,000, the Dodgers will have the sole obligation to pay all costs of <br />such maintenance, repair and replacements throughout the term of the Facility Lease. <br />The only obligation retained by the County will be to pay any ad valorem real <br />property taxes, if any, assessed against Dodgertown following the County's <br />acquisition. In order to help assure that the Dodgers will continue to use Dodgertown <br />as their spring training facility throughout the initial twenty year term of the Facility <br />L= <br />Lease, in the event the Dodgers cease using Dodgertown as their spring training <br />facility, they are obligated to pay liquidated damages to the County in an amount <br />equal to the costs of defeasing the County's bonds. <br />1-3 <br />
