40 <br />4W <br />2. Terms not specifically defined herein shall have the meaning ascribed to them in the <br />Declaration. <br />3. The Developer shall submit to the City a conceptual master plan for the Collateral <br />Development (the "Collateral Development Conceptual Master Plan"). The parties acknowledge that <br />the Collateral Development Conceptual Master Plan is subject to modifications necessary to ensure <br />the Collateral Development Conceptual Master Plan is in compliance with City's Code of Ordinances. <br />4. The Dodgers shall submit to the City a conceptual master plan for certain improvements <br />at the Facility (the "Facility Conceptual Master Plan"). The parties acknowledge that the Facility <br />Conceptual Master Plan is subject to modifications necessary to ensure the Facility Conceptual <br />Master Plan is in compliance with City's Code of Ordinances. <br />S. Determination of the required number of parking spaces for each of the Collateral <br />Development and the Facility will be determined as provided in the City's Code of Ordinances. Any <br />exceptions provisions of the number of parking spaces required by the City's Code of Ordinances <br />shall be considered as provided in the City's Code of Ordinances. <br />b. The parking requirements for the Collateral Development combined with the parking <br />requirements for the Facility shall be herein referred to as the "Total Parking Requirements". <br />7. The Dodgers and the Developer shall jointly provide the Total Parking Requirements. The <br />number of parking spaces on the Facility site and the number of parking spaces on the Collateral <br />Development site shall be as set forth in the Declaration. <br />8. This Agreement may be amended, altered or modified only by a written agreement by all <br />the parties hereto. <br />9. This Agreement shall be construed under and interpreted according to the laws of the State <br />of Florida and the venue with respect to any litigation arising hereunder shall be in Indian River <br />County, Florida. <br />10. If any provisions of this Agreement shall be declared invalid or unenforceable by a court <br />of competent jurisdiction, the remainder of the Agreement shall continue in full force and effect. <br />
