4W <br />!Bzr <br />Section 4.43. Ql eration. The Dodgers shall provide and pay for, solely from funds of the <br />Dodgers or the Capital Reserve Account, if appropriate, all costs and expenses required For the <br />operation and maintenance of the Facility which are not, by the terms of this Agreement, specifically <br />required to be provided and paid for by the County, including, but not limited to, all personnel <br />(including supervisory staff), labor, equipment, telephone, water, sewer, storm water, and materials. <br />Costs for which the Dodgers are responsible shall include, but not be limited to, taxes (except for ad <br />valorem real property taxes, if any, imposed upon the County in connection with the Facility), gas, <br />electricity and other utilities related to operation of the Facility, and production of all events taking <br />place at the Facility. <br />I <br />Section 4.44. Taxes, The Dodgers shall pay all taxes associated with the operation of the <br />Facility, including, but not limited to, sales taxes, except that the County shall pay that portion of the <br />ad valorem real property taxes levied on the Land and all structures and improvements constituting <br />the Facility. <br />' Section 4.05.x. The Dodgers shall name a person to be the liaison to work with the <br />County with respect to coordinating the mutual responsibilities of the Dodgers and the County. The <br />J Dodgers hereby designate Mr. Craig Callan as the liaison unless and until a new person is designed <br />in writing by the Dodgers. <br />Section 4.06, .imitations. The Dodgers' rights and obligations under this Agreement are <br />subject to the following; additional limitations: <br />(a) No contract entered into pursuant to this Agreement may impair any right of <br />the County hereunder. <br />(b) The Dodgers shall not, without the County's consent, enter into any contract <br />extending beyond the expiration date of the Term, as the Term is defined when any such <br />contract is executed by the Dodgers. <br />l <br />(c) The Dodgers shall take no action which may result in the attachment of a lien <br />or cloud on the County's interest in or title to the Facility. If, as a result of the Dodgers' <br />actions, a linen or cloud is attached to the County's interest or title to the Facility, the Dodgers <br />shall immediately take all reasonable and necessary steps to remove such lien or cloud. <br />_ (d) The Dodgers shall not knowingly occupy or use the Facility for any purpose <br />or in any manner that is unlawful. <br />Page 9 of 27 <br />
