f� PROFESSIONAL SERVICES AGREEMENT 9Q—��J <br />BETWEEN <br />GEOSYNTEC CONSULTANTS, INC. swDD C3?MCr #9902 <br />AND <br />INDIAN RIVER COUNTY SOLID WASTE DISPOSAL DISTRICT <br />This Professional Services Agreement ("Agreement") is made effective Ills*-%A <br />of 1999 <br />by and between ]eoSyntec Consultants, Inc. (OwSymcc'"),located at 621 NW 53' Street, Suite 65-a.Boca Raton, <br />Florida 33489, it Indian River County Solid Waste Disposal District ("SWDD"),located at 1840 25'" Street, Vero <br />Beach, Florida. This Agreement was developed for the scope ofservices to be performed by GwSyntec in response <br />to Indian River County's Request For Proposal (RFP) No -9040: Closed Landfill Invesslgelian — Professional <br />Engineering Services. The scope of work that may be performed by GwSyntec under this Agreement includes, but <br />is not limited to, 'he following: <br />• Groundwater Monitoring Plans for all closed landfll sites, including all data gathering activities, data <br />analyses, and reports related thereto; <br />• Contamination Assessment Report as deemed necessaryfor cenain closed landfll sites, including all <br />data gathering activities. data analyses, and report doeumenmtien related thereto; <br />• geophysical surveys, borings, piezometers, monitoring wells and other subsurface investigations, <br />including all necessary permits related thereto; <br />• environmental surveys and audits required ibr property transactions involving County facilities of <br />Property; <br />• sampling and testing services for various media (e.g.,groundwater, surface water, soil, and air); <br />• groundwater flow and containment ransport modeling as needed to develop groundwater monitoring <br />plans and/or remedial systems; <br />• risk assessments as needed tp develop risk-based cleanup goals; <br />• Remedial Investigation and Feasibility Studies (RIPS) for landfll aims that have been adversely <br />Implied; <br />• Remedial Action Plans slid designs, including all necessary permits related thereto, immediately for the <br />Gifford Road Lara fll site and far other sites if remediation is necessary; <br />• design, bidding, and construction -phase services in the implementation ofremediatime requirements <br />that may be necessary; and <br />• expert witness testimony and consultation. <br />NOW, THEREFORE, in consideration of the promises set forth below, the parties hereby agree as follows: <br />WORK AUTHORIZATIONS <br />The Scope of Services (hereinafter "Services") and the schedule and charges forthe Services are to be set fonh in a <br />wriaen Work Authorisation or Work Authorizations to this Agreement. Each Work Authorisation shall be prepared <br />by GeoSymcc, in coordination with SWDD. Each Work Authorisation shall be approved by the SWDD prior to <br />initiation orwork. The terms and conditions oflher Agreement shall apply to each Work Authorization. except to <br />the extent expressly modified by the Work Authorization. Unless otherwixe stated in the Work Authorization.the <br />method of charging for the Services shall be based on time and materials in accordance with the following: <br />• Labor Costs. The SWDD shall pay an amount equal to GeoSymec's Direct Labor Costs plus overhead, <br />calculated at 2.19 times Direct Labor Costs, far all basic services rendered by GeoSym. personnel <br />(sec Exhibit A), GeoSyntec's Direct Labor Costs shall equal the average hourly rate by class of <br />employee. For salaried employees, the hourly average .to shall equal salary divided by 2080(1.,.,40 <br />houredweek times 52 weekslyear). <br />• Reimbursable Extremes. SWDD shall pay the cost times a factor of 1. 1 (excluding professional <br />subconsultants). <br />• Professional Subconsuhanm. For services performed by'ndelmndent professional subconsulmnm <br />empleyed by G.Syntec, rhe SWDD shall pay ao markup. <br />1NDUMgI.DOC <br />
