BUTLER, CLERK <br />EXTENSION TO MEMORANDUM OF UNDERSTANDING <br />FOR ANIMAL SHELTER SERVICES <br />THIS EXTENSION TO MEMORANDUM OF UNDERSTANDING FOR ANIMAL <br />SHELTER SERVICES ("Extension") is entered into as of this24th day of September 92024, <br />by and between the Humane Society of Vero Beach & Indian River County, Florida, Inc. a Florida <br />not for profit corporation, whose address is 6230 77h Street, Vero Beach, Florida, 32967 <br />("Society") and the Board of County Commissioners of Indian River County, a political <br />subdivision of the State of Florida, whose address is 1801 27`h Street, Vero Beach, Florida, 32960 <br />("County„). <br />BACKGROUND RECITALS <br />A. On January 12, 2021, Society and County entered into an Extension to Memorandum <br />of Understanding for Animal Shelter Services, which commenced on May 1, 2021 and <br />lasts for twelve months; and <br />B. The parties have thrice extended the Memorandum of Understanding, which now <br />expires on November 30, 2024; and <br />C. The parties wish to extend the Memorandum of Understanding for Animal Shelter <br />Services until November 30, 2025, <br />D. The parties also are willing to increase the compensation from $46,870 per month to <br />$49,917 <br />NOW THEREFORE, in accordance with the mutual covenants herein contained and other <br />good valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the parties agree as follows: <br />1. The above background recitals are true and correct and are incorporated herein. <br />2. The Memorandum of Understanding for Animal Shelter Services is extended until <br />November 30, 2025. <br />3. Section 1.3 Compensation and Reports shall be amended as follows: <br />a. The County shall pay the Society a flat monthly fee of $49,917, which shall <br />commence of December 1, 2024, for the services described herein. <br />4. All other provisions of the Memorandum of Understanding for Animal Shelter Services <br />shall remain in full force and effect. <br />IN WITNESS WHEREOF the parties hereto have executed this Extension as of the date <br />first written above. <br />Page I 1 <br />
