AGREEMENT <br />between <br />INDIAN RIVER COUNTY BOARD OF COUNTY COMMISSIONERS <br />and <br />DAVIES CLAIMS NORTH AMERICA, INC. <br />for <br />THIRD PARTY ADMINISTRATION (TPA) SERVICES FOR THE SELF FUNDED <br />WORKERS' COMPENSATION AND LIABILITY PROGRAM <br />THIS AGREEMENT, made and entered into by and between INDIAN RIVER COUNTY <br />BOARD OF COUNTY COMMISSIONERS, a political subdivision of the State of Florida <br />(hereinafter, "IRC"), and DAVIES CLAIMS NORTH AMERICA, INC. (hereinafter, "TPA"). <br />WHEREAS, IRC has undertaken to self -insure its Workers' Compensation and Third Party <br />Liability program in accordance with applicable Florida statutes and regulations; and <br />WHEREAS, TPA is engaged in the administration and supervision of Workers' Compensation <br />and Third Party Liability programs for self-insured entities; and <br />WHEREAS, TPA desires to provide and IRC desires to receive Workers' Compensation and <br />Third Party Liability Claims Administration Services as described under the terms and conditions <br />of this Agreement. <br />NOW, THEREFORE, in consideration of mutual covenants and conditions set forth herein, the <br />parties agree as follows: <br />ARTICLE 1— RECITALS <br />1.1 Recitals. The Parties agree that the foregoing recitals are true and correct and that such <br />recitals are incorporated herein by reference. <br />ARTICLE 2 — TERM OF AGREEMENT <br />2.1 Term of Agreement. This Agreement is effective as of 12:01 a.m., October 1, 2024 and <br />will continue until 12:01 a.m., October 1, 2027. The term of the Agreement may, by mutual <br />agreement by IRC and TPA, be extended for up to two additional one-year periods. <br />ARTICLE 3 — COMPENSATION OF TPA <br />October 1, 2024 — October 1, 2025 $260,907 <br />October 1, 2025 — October 1, 2026 $260,907 <br />October 1, 2026 — October 1, 2027 $260,907 <br />Two Additional One -Year Periods <br />Page 1 <br />
