AMENDED AND <br />RESTATED SERVICE <br />AGREEMENT <br />and description of the services performed. The Service Provider shall only <br />invoice for services that are specified in Attachment A, Scope of Service <br />and have been delivered during the agreement period. Properly completed <br />and approved cost reimbursement invoices are due by the 10th of each <br />month. Payments will be released thereafter. <br />2. Data Collection <br />a. Opioid Settlement (OS) providers will be required to report data directly to the <br />Department through the Florida Opioid Implementation and Financial Reporting <br />System (OIFRS) system. The planned OS data to be collected will include: <br />diagnosis(es), demographics, financial, and service provided. <br />SEFBHN's obligation to pay under this Agreement is contingent on the availability <br />of funding for this project being received from the State of Florida through the <br />Opioid Settlement against the three largest pharmaceutical distributors, <br />McKesson, Cardinal Health and AmerisourceBergen ("Distributors"), and one <br />manufacturer, Janssen Pharmaceuticals, Inc., and its parent company Johnson & <br />Johnson (collectively, "Janssen"). Neither the County nor the Service <br />Providers will have a right of action against SEFBHN or the State as a result of lack <br />of sufficient funding. If funds become unavailable, provisions of termination will <br />apply. <br />b. Coordinated Opioid Recovery (CORE) Network of Addiction Care <br />This agreement will require compliance with the Department of Children and <br />Families' Guidance Document 41, Coordinated Opioid Recovery (CORE) <br />Network of Addiction Care, herein incorporated by reference. The current <br />incorporated guidance document is effective as of October 1, 2023 and, any <br />updates to the guidance document will also be incorporated. <br />C. Governing Law and Compliance <br />1. Governing Law <br />The validity, enforceability, and interpretation of this Agreement, including the <br />Attachments, shall be determined and governed by the laws of the State of Florida, <br />as well as applicable federal laws.
