FIRST AMENDMENT TO AGREEMENT <br />FOR PHASE II DESIGN SERVICES for EMERGENCY OPERATIONS CENTER EXPANSION <br />(RFQ 2022062) <br />This First Amendment to that certain Agreement for Phase II Design Services for the Emergency Operations <br />Center Expansion is entered into effective as of February 25, 2025, by and between Indian River County, a <br />political subdivision of the State of Florida ("County") and Donadio and Associates Architects, PA, A <br />Spiezle Group Inc. Company ("Consultant"). <br />BACKGROUND RECITALS <br />WHEREAS, the County and the Consultant entered into an Agreement for Phase II Design Services for the <br />Emergency Operations Center Expansion effective July 2, 2024; and <br />WHEREAS, Exhibit A of the Agreement contains the term and Proposed Fees; and <br />WHEREAS, pursuant to the Agreement, the parties desire to extend the Agreement until the completion and <br />closeout of the project, projected for May 31, 2026; and <br />WHEREAS, the parties desire to amend Exhibit A Pricing to reflect additional design fees to accommodate <br />a future 2nd floor; <br />NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, <br />the receipt and sufficiency of which are hereby acknowledged, the County and the Consultant agree as <br />follows: <br />The background recitals are true and correct and form a material part of this First Amendment. <br />2. The Agreement shall now be effective through May 31, 2026. <br />3. The Exhibit A Pricing is amended to reflect additional pricing as reflected in the attached January 27, <br />2025 Amendment 1 request provided by the Consultant. <br />4. All other terms and provisions of the Agreement shall be unchanged and remain in full force and <br />effect. <br />
