FIRST AMENDMENT TO AGREEMENT <br />FOR CONTINUING CONSULTING ENGINEERING SERVICES <br />This First Amendment to that certain Agreement to provide Continuing Consulting <br />Engineering Services is entered into effective as of February 11, 2025, by and between Indian River <br />County, a political subdivision of the State of Florida ("County") and Consor North America, <br />Inc. ("Consultant"). <br />BACKGROUND RECITALS <br />WHEREAS, the County and the Consultant entered into an Agreement for Continuing Consulting <br />Engineering Services effective May 2, 2023; and <br />WHEREAS, Consultant has notified County of completion of an assignment of contract from Consor <br />Engineers LLC to Consor North America, Inc., effective December 23, 2024. <br />WHEREAS, pursuant to the Agreement, the parties desire to amend the Agreement to rename <br />Consultant from Consor Engineers, LLC to Consor North America, Inc.; and <br />NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, <br />the receipt and sufficiency of which are hereby acknowledged, the County and the Consultant agree as <br />follows: <br />1. The background recitals are true and correct and form a material part of this First Amendment. <br />2. The Agreement is hereby amended to rename the consultant Consor North America, Inc. All <br />references to "Consor Engineers, LLC" shall be amended to "Conor North America, Inc." <br />3. All other terms and provisions of the Agreement shall be unchanged and remain in full force and <br />effect. <br />128 <br />
