RFP 2025010 Medical Director Services Agreement <br />B. Failure of the Medical Director to comply with these requirements shall be a material breach of this <br />AGREEMENT. <br />8. INDEPENDENT CONTRACTOR RELATIONSHIP <br />8.1 Medical Director is, and shall remain, an independent contractor in the performance of all work, <br />services, and activities under this AGREEMENT and is not an employee, agent, or servant of the County. <br />All persons engaged in any of the work or services performed pursuant to this AGREEMENT shall at all <br />times and in all places be subject to Medical Director's sole discretion, supervision, and control. Medical <br />Director shall exercise control over the means and manner in which he and his employees perform the <br />work and in all respects Medical Director's relationship and the relationship with his employees to County <br />shall be that of independent contractor and not as County's employees. <br />8.2 Medical Director does not have the power or authority to bind County in any promise, agreement or <br />representation, other than such power or authority which is specifically provided for in this <br />AGREEMENT, or as otherwise authorized by County. <br />9. ACCESS TO RECORDS AND AUDITS <br />Medical Director shall maintain adequate records to justify all charges, expenses and costs incurred <br />in performing the work for at least three (3) years after completion of this AGREEMENT. County <br />shall have access to such books, records, and documents as required in this Section for the purpose <br />of inspection or audit during normal business hours, at County's cost, upon five (5) days prior written <br />notice. <br />io. NONDISCRIMINATION <br />Medical Director warrants and represents that all of his employees are treated equally during <br />employment without regard to race, color, religion, physical handicap, sex, age or national origin. <br />11 <br />
