<br />Agreement payable by RIGHTWAY for failure to meet the performance standards shall be payable solely
<br />on the account of a failure to satisfy the standards. The failure to meet a performance standard shall not, in
<br />and of itself, constitute a Material Breach of the Agreement.
<br />Section 2.03. Employment Standards. RIGHTWAY is registered with and will use the Department of
<br />Homeland Security's E -Verify system (www.e-verify.gov) to confirm the employment eligibility of all
<br />newly hired employees for the duration of this Agreement, as required by Section 448.095, F.S.
<br />RIGHTWAY is also responsible for obtaining an affidavit from all subcontractors, as required in Section
<br />448.095(5)(b), F.S., stating the subcontractor does not employ, contract with, or subcontract with an
<br />unauthorized alien. RIGHTWAY certifies that it and those related entities of RIGHTWAY as defined by
<br />Florida law are not on the Scrutinized Companies that Boycott Israel List, created pursuant to s. 215.4725
<br />of the Florida Statutes, and are not engaged in a boycott of Israel. Client may terminate this Contract if
<br />RIGHTWAY, including all wholly owned subsidiaries, majority-owned subsidiaries, and parent companies
<br />that exist for the purpose of making profit, is found to have been placed on the Scrutinized Companies that
<br />Boycott Israel List or is engaged in a boycott of Israel as set forth in section 215.4725, Florida Statutes. In
<br />addition, if this Agreement is for goods or services of one million dollars or more, RIGHTWAY certifies
<br />that it and those related entities of RIGHTWAY as defined by Florida law are not on the Scrutinized
<br />Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum
<br />Energy Sector List, created pursuant to Section 215.473 of the Florida Statutes and are not engaged in
<br />business operations in Cuba or Syria. Client may terminate this Agreement if RIGHTWAY is found to have
<br />submitted a false certification as provided under section 287.135(5), Florida Statutes, been placed on the
<br />Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the
<br />Iran Petroleum Energy Sector List, or been engaged in business operations in Cuba or Syria, as defined by
<br />section 287.135, Florida Statutes.
<br />ARTICLE III
<br />CLIENT RESPONSIBILITIES
<br />Section 3.01. Implementation Information. Client and its designated third -party service provider, will
<br />cooperate with RIGHTWAY in completing implementation form(s) in a mutually agreeable format, which
<br />contain Client information related to benefit structure, system requirements, operational requirements,
<br />Services selected, Plan Documents, Eligibility Files, and/or other information required by RIGHTWAY
<br />with respect to Services to be provided hereunder. Client shall promptly review and confirm that the
<br />information on the implementation form(s) is accurate and complete and notify RIGHTWAY in writing of
<br />any errors and/or inaccuracies on the implementation form(s) within the earlier of thirty (30) days from
<br />receipt of the implementation form or thirty (30) days prior to the proposed implementation date, otherwise
<br />all information contained therein will be deemed accurate, complete, and acceptable to Client, and
<br />RIGHTWAY shall have the right to rely on all such information contained in the implementation form(s).
<br />Failure of Client to sign the implementation form(s) confirming its accuracy does not alter RIGHTWAY's
<br />right to rely on the information contained therein and does not relieve Client of its responsibility for
<br />notifying RIGHTWAY in writing of any errors or inaccuracies in the implementation form(s).
<br />RIGHTWAY shall provide assistance to Client in effecting a transition from Client's prior pharmacy benefit
<br />manager, including, but not limited to, the transition of all data, records and systems necessary to obtain
<br />the benefit of the Services in accordance with the terms of this Agreement.
<br />Section 3.02. Plan and Other Information. Client and its designated third -party service provider agrees
<br />to provide RIGHTWAY all information reasonably required by RIGHTWAY to fulfill its duties and
<br />obligations under this Agreement. Client represents and warrants that all information provided shall be
<br />true, accurate and complete and consistent with the Plan benefits available to Eligible Persons. Client
