B. AUTHORIZED USE, TERMS & CONDITIONS: <br />1. The Premises are to be used by Applicant for the Vero Beach Blues Festival (the "Event"),up blic <br />music festival event with food vendors, several live bands and marketplace vendors. This event <br />will have alcohol served by a licensed alcohol vendor and be a ticketed event. <br />(a) The Event may include the following activities: Two-day music festival experience featuring <br />top Blues & Blues Rock music talent, food vendors and over 100 marketplace vendors. <br />Alcohol will be served by a licensed alcohol vendor. <br />(b) Ticketed event and open to the public. <br />(c) The hours of the Event shall be: Saturday from 10:30am-9pm & Sunday 10:30am-9pm. <br />(d) The Event shall be used for no other purpose whatsoever, unless prior written approval is <br />requested in writing by Applicant and given by the County which approval shall be subject <br />to availability but not be unreasonably withheld, conditioned, or delayed so long as such <br />request is submitted at least 90 days prior to the beginning of the License Duration. Such <br />change may result in a modification of the insurance requirements set forth in B. 17. <br />2. The Applicant shall have first right of refusal for the following dates: <br />(a) February 24 -March 1, 2027 <br />(b) February 23-28, 2028 <br />(c) February 21-26, 2029 <br />and will have 30 calendar days from the last day of the previous year's event, to provide a security <br />deposit which shall be a minimum of 25% of the Fairgrounds License Agreement Fees Schedule <br />in effect at that time to the County to secure the subsequent year's date. If the Applicant fails to <br />provide the security deposit as described within this section, the Applicant forfeits the reservation <br />of all future dates under this License Agreement. <br />3. Applicant agrees to pay to the County as rent, costs, expenses and taxes for the use of the Premises <br />the following sums: <br />(a) Rental fee will be $4800.00 plus any additional charges imposed at the request of the <br />Applicant to be reconciled at the end of License Duration, based on the calculations on the <br />attached Fee Schedule. A minimum of TWENTY-FIVE percent (25%) of the entire rental <br />fee, $1200.00 ("Event Deposit") is due at the signing of the License Agreement. The <br />balance of the rental fee set forth above and any remaining payments, including any <br />expenses, charges or other fees described in this License Agreement shall be due thirty (30) <br />days prior to the Event. Any incidental charges or fees not included in this Agreement at <br />the time of execution shall be due within five (5) business days of the conclusion of the <br />Event as described in B.I.b. <br />(b) A Damage Deposit of $500.00 shall be submitted no later than 45 days prior to the Event. <br />The Damage Deposit shall be applied against the fees, costs, expenses, charges and/or <br />delinquent payments described herein, and against any costs of repair or replacement of <br />damages to the Fairgrounds that directly or indirectly result from the Event, whether caused <br />by Applicant or Applicant's employees, invitees, licensees, contractors, assignees, <br />contestants, exhibitors or performers, or others on the Premises at Applicant's direction or <br />Fairground icense Agreement Page 3 of 12 <br />Initials <br />Date <br />
