B. AUTHORIZED USE, TERMS & CONDITIONS: 1. The Premises are to be used by Applicant for the Vero Beach Blues Festival (the "Event"),up blic music festival event with food vendors, several live bands and marketplace vendors. This event will have alcohol served by a licensed alcohol vendor and be a ticketed event. (a) The Event may include the following activities: Two-day music festival experience featuring top Blues & Blues Rock music talent, food vendors and over 100 marketplace vendors. Alcohol will be served by a licensed alcohol vendor. (b) Ticketed event and open to the public. (c) The hours of the Event shall be: Saturday from 10:30am-9pm & Sunday 10:30am-9pm. (d) The Event shall be used for no other purpose whatsoever, unless prior written approval is requested in writing by Applicant and given by the County which approval shall be subject to availability but not be unreasonably withheld, conditioned, or delayed so long as such request is submitted at least 90 days prior to the beginning of the License Duration. Such change may result in a modification of the insurance requirements set forth in B. 17. 2. The Applicant shall have first right of refusal for the following dates: (a) February 24 -March 1, 2027 (b) February 23-28, 2028 (c) February 21-26, 2029 and will have 30 calendar days from the last day of the previous year's event, to provide a security deposit which shall be a minimum of 25% of the Fairgrounds License Agreement Fees Schedule in effect at that time to the County to secure the subsequent year's date. If the Applicant fails to provide the security deposit as described within this section, the Applicant forfeits the reservation of all future dates under this License Agreement. 3. Applicant agrees to pay to the County as rent, costs, expenses and taxes for the use of the Premises the following sums: (a) Rental fee will be $4800.00 plus any additional charges imposed at the request of the Applicant to be reconciled at the end of License Duration, based on the calculations on the attached Fee Schedule. A minimum of TWENTY-FIVE percent (25%) of the entire rental fee, $1200.00 ("Event Deposit") is due at the signing of the License Agreement. The balance of the rental fee set forth above and any remaining payments, including any expenses, charges or other fees described in this License Agreement shall be due thirty (30) days prior to the Event. Any incidental charges or fees not included in this Agreement at the time of execution shall be due within five (5) business days of the conclusion of the Event as described in B.I.b. (b) A Damage Deposit of $500.00 shall be submitted no later than 45 days prior to the Event. The Damage Deposit shall be applied against the fees, costs, expenses, charges and/or delinquent payments described herein, and against any costs of repair or replacement of damages to the Fairgrounds that directly or indirectly result from the Event, whether caused by Applicant or Applicant's employees, invitees, licensees, contractors, assignees, contestants, exhibitors or performers, or others on the Premises at Applicant's direction or Fairground icense Agreement Page 3 of 12 Initials Date
