13. Termination. <br />This Agreement may be terminated by either party upon ninety (90) days' written notice to the <br />other party. In the event of termination, the City shall pay for all services performed by the County <br />through the date of termination. <br />14. Filing. <br />This Agreement, once fully executed, shall be filed with the Clerk of the Court of Indian River <br />County, Florida, by the County. <br />15. Miscellaneous. <br />a) Governing Law: This Agreement shall be governed by the laws of the State of Florida. <br />b) Entire Agreement: This document contains the entire agreement between the parties. <br />c) Amendments: No modification shall be effective unless in writing and signed by both <br />parties. <br />16.
