AlA, Suite 301, Vero Beach, FL <br /> 32963 ("Consultant"). <br /> BACKGROUND RECITALS <br /> A. Effective April 6. 2OO4. the County and the Consultant entered into the Continuing Contract <br /> Agreement for Professional Services ("Agreement"). <br /> B. The County and the Consultant desire toamend the Agreement byadding anew paragraph <br /> 4.3. inaccordance with the provisions ofthe Agreement, asset forth |n this First Amendment. <br /> NOW THEFlEFC)F<E, for good and valuable consideration, the receipt and sufficiency of <br /> which is hereby acknowledged, the parties henaho, intending to be legally bound, covenant and <br /> agree buamend the Agreement asfollows: <br /> (1) The Background F<euha|s are true and correct and honn a material port of this First <br /> Amendment; <br /> /2\ From and after the effective date of this First Amendment, paragraph 4.3 is added to the <br /> Agreement anfollows: <br /> 4.3 Pursuant to the terms Cfthis Agreement, the County hereby extends the Initial <br /> Tenn of this Agreement for a rnaxinnurn term of three (@) years ("Extension Term"). <br /> The Extension Term shall commence as of Aoh| T. 2007' subject to g sooner | <br /> termination in accordance with the terms of this Agreemnont, and aho|| and on April <br /> 6, 2010.
